The VP of Investor Relations will manage the investor relations program strategy on behalf of Ardent, serving as the primary liaison with current and targeted investors, coverage analysts and financing partners. The VP of IR will develop a financial communications roadmap for the company, ensuring the articulation of a clear, concise investment thesis that will help Ardent to achieve and maintain a fair market value for its publicly traded instruments.

This individual will be responsible for the management of all external financial communications, including all press releases, investor presentations, conference call scripts and related preparation associated the quarterly reporting cycle. As part of this process, the VP of IR will also assist in the analysis of quarter operating and financial results, along with the development of annual financial guidance. The VP of IR will also lead all investor engagement activities, which will include sourcing, planning and executing non-deal roadshows, conferences, investor site visits and analyst days. This role also includes significant market intelligence responsibilities, including peer benchmarking, analysis and collection of industry commentary, tracking of relevant legislative developments and surveillance of shareholder rotations within its publicly traded instruments.

Responsibilities

  • Develop, implement and manage a comprehensive strategic investor relations program that communicates the Company's value proposition to all constituents, including investors, coverage analysts and other relevant constituents

  • Serve as the Company's information conduit and point of contact to the investor community. Develop and maintain strong relationships built on mutual trust and respect with constituents

  • Serve as an advisor and strategic resource to the CFO, CEO and other senior leaders on issues involving the release of material information as well as on other matters of interest to the Company's business and operations

  • Consistently monitor share price, volume, shareholder profile changes and other trading dynamics and communicate the activity and the potential rationale driving the activity (to the extent possible) to management.

  • Manage quarterly and annual earnings release calls; create and manage key messages, scripting and talking points for the CEO, CFO and any other members of senior management, prepare comprehensive Q&As, and follow up with investment community.

  • Partner with FP&A and Corporate Accounting teams to develop messaging around financial and operating performance for the purpose of financial reporting.

  • Partner with FP&A in the development and updating of any relevant annual financial targets, including annual guidance

  • Manage ongoing investor calendar for conferences, individual meetings, office visits and roadshow activity, including timing, messaging, attendees and speakers.

  • Actively engage with investors, potential investors and analysts to answer questions and proactively provide information necessary for their analysis.

  • Partner cross-functionally to help drive Ardent's IR strategy around ESG and Sustainability, including building relevant relationships within the investment community that serve to inform and advise senior management, the Board, and lines of business on ESG matters

  • Monitor and assess all sell-side coverage models, while also evaluating published models of publicly traded competitors for benchmarking purposes

  • Serve as an advisor and strategic resource to the CFO, CEO and other senior leaders on issues involving the public distribution of financial, strategic and other material disclosures

  • Partner with legal counsel to ensure compliance with all applicable regulations

  • Understand and monitor the competitive landscape, including strategic and financial developments, competitor actions and industry trends (including ESG considerations)

  • Manage the Company's Investor Relations section of the website

  • Contribute to the Company's proxy drafting and governance engagement process and annual shareholders meeting; work closely with Finance, Accounting and Legal to create and maintain various analyses and presentations of internal performance and activity data.

  • Manage relationships with any relevant external IR resources to ensure efficient processes and insights.

Qualifications

  • A Bachelor's degree in Finance, Accounting, Business, or other related area, required

  • Advanced degree in Finance or an MBA, CPA or CFA distinction, preferred

  • Minimum of 10 years professional experience with 5+ years of corporate investor relations experience, required

  • Sector-specific experience within healthcare services; acute-care hospital experience preferred

  • Significant experience in financial modeling and in-depth financial analysis

  • Seasoned understanding of financial statements, forecasts and budgets

  • Proven success in developing investor confidence and articulation of a Company's vision and strategy for delivering shareholder value

  • An in-depth understanding of SEC regulations and securities disclosure and filing requirements

  • High levels of integrity, diplomacy and tact, ensuring confidentiality of information when required

  • Eager to engage directly with investors and coverage analysts

  • Thoughtful and influential voice in tailoring public messages

  • Organized and disciplined with respect to reporting calendar and timetables
