Description of the Position Function:
The Associate Counsel will serve in the Legal Department and report to the General Counsel. The Legal Department is responsible for all of the legal affairs of Peoples Bank and its affiliates and subsidiaries. The Associate Counsel will provide legal advice and support to all business lines and functional areas on a broad range of matters as needed. The primary areas of responsibilities will be vendor contract review and counsel, retail operations questions, and real estate and leasing matters relative to the bank's properties.
Provide strategic and practical legal advice and support various operational and functional areas on a broad range of legal issues and regulatory matters.
Perform legal review and participate in the negotiation of vendor contracts, including issue spotting and providing proactive advice and counsel to internal business partners.
Provide advice on various retail operations matters involving deposit accounts and transactions (e.g. deceased customer account processing, guardianship issues, deposit box issues and trust and power of attorney questions).
Provide advice and support on real estate and leasing matters relative to the bank's properties.
Manage litigation matters involving claims against the bank, including supervision of outside counsel.
Provide advice and support on various corporate governance matters and assist with the preparation of minutes of meetings of the Board of Directors and Committees of the Board of Directors.
Collaborate with other partners to ensure awareness of issues as they arise and assist in resolving matters and driving forward initiatives.
Licensed to practice law in good standing in Ohio (or in another state with willingness to become licensed in Ohio)
5 + years of relevant law firm, financial institution, corporate, regulatory or comparable experience post JD degree
Knowledge of banking products and services preferred
Experience and working knowledge of Uniform Commercial Code preferred
Excellent document drafting skills
Strong interpersonal, analytical, problem solving and organizational skills
Strong verbal and written communications skills
