The Legal Department of JPMorgan Chase & Co provides legal services and advice to the Firm globally. Legal is responsible for, among other things:

  • managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters
  • advising on products and services, including contract negotiation and documentation
  • advising on offering and marketing documents and new business initiatives
  • managing dispute resolution
  • interpreting existing laws, rules and regulations, and advising on changes thereto
  • advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and
  • providing legal advice to the Board of Directors, the business and functions. Legal selects, engages and manages outside counsel for the Firm on all matters in which outside counsel is engaged.

Responsibilities

The responsibilities for the Assistant General Counsel, Global Financial Crimes Legal (GFC Legal), include the following:

  • Supporting GFC Legal's provision of legal advice and transactional support to the business, compliance, and other legal or control groups on issues related to anti-money laundering, Know-Your-Customer requirements, anti-corruption, and economic sanctions laws and regulations;

  • Assisting internal JPMC counsel as well as outside counsel, as necessary, in legal and investigative matters related to anti-money laundering, anti-corruption, and economic sanctions laws and regulations;

  • Advising with respect to select special projects (long-term and short-term) arising from the administration of the global AML program;

  • Assisting senior GFC Legal attorneys with support of the Firm's investigative units, subpoena processing and escalation teams, Global Security, and SAR filing units; and

  • Analyzing AML and FCPA regulatory and legislative developments, including advice regarding implementation.

  • Supporting select special projects (long-term and short-term) arising from the administration of the global KYC / AML, Sanctions and ABC programs, including providing legal advice on the development and periodic review of JPMorgan policies and procedures; and

  • Attend internal meetings and governance/oversight committees to provide legal advice on relevant AML, Sanctions and ABC matters

  • Performing other tasks and matters that may be required of the Legal department from time to time.

Qualifications

  • J.D. required.

  • An understanding of banking and brokerage investment products, services, and transactions

  • Knowledge and understanding of AML, BSA, USA Patriot Act, and OFAC regulations

  • Understanding of the regulatory framework for a large banking organization offering products and services consistent with JPMC

  • Strong project management and organizational skills

  • Excellent verbal and written communication skills

  • 5+ years of legal practicing experience with compliance related investigations, litigation and/or financial services regulatory matters in a major law firm and/or large multi-national corporation

  • Self-starter with an ability to foster and maintain solid client relationships and collaborate with colleagues and stakeholders as a trusted legal advisor in a multi-functional, multi-jurisdictional environment;

  • Ability to multi-task and effectively manage multiple matters simultaneously in a fast-paced, high-pressure environment;

  • Confidence and experience translating complex legal concepts into practical solutions;

  • Creative solution and problem solving skills

  • All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment

  • Attorney must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction

The Commercial Banking Legal team is seeking an attorney experienced in commercial financing matters to join the team as a lawyer supporting Middle Market Banking and Specialized Industries ("MMBSI"). The position will be based in Plano, TX or Chicago, IL. MMBSI is a part of the Commercial Banking line of business of JPMorgan Chase Bank, N.A., a subsidiary of JPMorgan Chase & Co. MMBSI serves business, municipal and not-for-profit clients with annual revenue of $20 million to $500 million. MMBSI provides credit, cash management, capital markets and corporate finance advisory solutions to its clients via Core Banking and Specialized Industries teams. Primary Responsibilities: * Advise and counsel bankers on structuring and documenting a variety of credit and banking transactions. * Provide transactional support, including the review, negotiation and drafting of credit and collateral documentation, confidentiality agreements, indicative term sheets and other proposals, commitment letters, amendments and waivers. * Advise, in conjunction with Special Credits Legal, on troubled credit situations, waivers, amendments and forbearance agreements. * Identify and mitigate risks (legal, operational, reputational and other). * Review and guide clients on reputational risk issues, in standard and high risk industries. * Participate on cross line of business projects on a variety of subjects, including the building of policies and procedures on new regulations and amendments or new interpretations to existing regulations. * Provide legal interpretations of regulations and guidance on their applicability to Middle Market Banking (such as, Know-YourCustomer, OFAC and anti-money laundering compliance; banking regulatory compliance such as anti-tying; Reg. B, Reg. U, conflicts of interest, information-sharing, confidentiality and privacy). * Counsel Wholesale Lending Services staff on documenting, booking and servicing of loans and on forms, policies, procedures and job aids. * Advise, in conjunction with Treasury Services Legal, on the negotiation and exception approval on deposit and cash management documentation. * Review proposed new or modified products, businesses, practices and procedures, and identify any legal and regulatory issues. * Prepare and update standard commercial loan documentation and procedures. * Provide training for underwriters, bankers, operational staff, and customer support staff on legal issues. * Manage outside counsel.
