Who You Are
We are seeking a self-motivated, innovative, practical, and highly experienced Vice President/Sr. Vice President, Deputy General Counsel (DGC) with significant prior in-house leadership experience in the life science industry to join the dynamic Legal & Compliance team at BridgeBio.
Reporting to and working closely with the Chief Legal Officer (CLO), the Vice President/Sr. Vice President, Deputy General Counsel will be responsible for managing the day-to-day internal operations of the Legal Department and identifying, developing, and executing strategic initiatives that help the Company mitigate risks and maximize opportunities. The Vice President/Sr. The Vice President, Deputy General Counsel will also lead the Corporate Law team, which provides legal counsel and support to the Company on a broad range of matters, including its business transactions, securities and corporate governance matters. The Vice President/Sr. Vice President, Deputy General Counsel will also oversee special projects as assigned by the CLO. The Vice President/Sr. Vice President, Deputy General Counsel will on the CLO's leadership team and will play a meaningful role in shaping and leading the Legal Department's culture and strategic goals. Where needed and directed by the CLO, the Vice President/Sr. Vice President, Deputy General Counsel will act as the CLO's delegee for certain matters and in the CLO's absence, with the authority of the CLO.
The Vice President/Sr. Vice President, Deputy General Counsel must possess outstanding legal and business acumen, be a team player willing to roll up their sleeves, possess strong interpersonal skills, initiative and leadership experience. Responsibilities
Assist the CLO in developing and implementing the company's legal strategy
Assist the CLO by leading department-wide initiatives designed to foster a culture of excellence, collaboration, and continuous improvement
Support CLO in advising the Board of Directors and executive leadership on corporate governance matters
Support CLO with corporate secretary function, including preparing materials and minutes for board and committee meetings, and ensuring Company's corporate governance policies and practices meet high standards and comply with relevant regulations
Lead experienced Corporate Law team and oversee various matters, including corporate finance (e.g., equity offerings and convertible debt offerings), credit agreements, contract interpretation, M&A, due diligence, joint ventures and collaborations, and other strategic alliance transactions
Oversee the drafting, reviewing, and negotiating of a wide range of contracts, including clinical trial agreements, licensing agreements, partnership agreements, and vendor contracts
Assist in developing and maintaining training, policies, and procedures to ensure the Company's compliance with key agreements and international, federal, state, and local laws and regulations (e.g., Sarbanes-Oxley, SEC regulations, NASDAQ regulations)
Supervise and ensure compliant preparation of public company securities filings, such as Section 16 filings, Form 8-K, and Form S-8, as well as the proxy statement and annual shareholder meeting materials
Work closely with Finance in preparing financial, non-financial and regulatory reporting obligations, such as Form 10-K and Form 10-Q
Advise senior management on the legal requirements and implications of securities matters
Support Investor Relations in connection with investor calls and conferences, managing the transfer agent relationship and investor outreach
Review press releases and public statements for Corporate Communications
Advise on compensation and benefits matters, including equity incentive plans, employee stock purchase plans, 401(k) plans, tax and executive compensation
Assist Stock Administration with equity plan activities and analysis and stock issuance
Provide counsel and advice to senior management on relevant legal and regulatory issues impacting the Company
Monitor changes in legislation and regulatory environments globally, assessing their impact on the company's operations
Develop and implement policies and procedures to ensure compliance, mitigate legal risks, and manage legal operations
Identify and evaluate legal risks to the Company and develop strategies to mitigate these risks
Help develop and deliver training programs for employees on legal and compliance matters
Promote a culture of ethical behavior and legal compliance throughout the organization

Education, Experience & Skills Requirements
Education: Successful completion of a Juris Doctor degree from an accredited law school
Bar Admission: Active membership in good standing with the bar association of the state where practicing
Experience: Minimum of 20 years of legal experience, with significant in-house legal experience in the biotech or pharmaceutical industry. Proven track record in a senior legal role, preferably within a global organization
Communication Skills: Excellent interpersonal, written, and verbal communication skills; articulate, direct, and forthright; ability to communicate with all levels of management and leadership; collaborative and decisive team member as well as a strategic thinker with a broad perspective
Analytical Thinking: Excellent analytical, problem-solving, and decision-making skills; must be able to exercise sound judgment and provide practical, risk-informed, and constructive legal advice in a fast-paced and complex global environment
Strategic Vision and Collaboration: Ability to align legal strategies with business objectives, contributing to the company's growth and success, and ability to work collaboratively and cross-functionally with internal teams, external advisors, and stakeholders
