Responsibilities

The Vice President will underwrite all aspects Representations and Warranties Insurance for Global Financial and Strategic Buyers acquiring North American Targets in most industry segments. Underwriting will occur on deal time and underwriting decisions will be made in a commercial fashion while maintaining underwriting discipline. The Vice President will develop their own "personal brand" among brokers, buyer counsel and buyers in order to win business.

Qualifications

Our ideal candidate will have the following:

Job Experience

  • 3+ years of experience as an R&W Underwriter; or
  • 3+ years of experience as an R&W Broker; or
  • 5+ years of experience as an M&A lawyer

Competencies

  • Ability and willingness to develop strong relationships with brokers, buyers and counsel

  • Ability and willingness to execute multiple transactions on deal time

  • Strong understanding of the mechanics of transaction documents and insurance policies

  • Ability to understand business and assess risk

Education

  • Bachelor's Degree required

  • Juris Doctor strongly preferred

VIEW JOBS 11/19/2020 12:00:00 AM 2021-02-17T00:00 Counterparty Credit Infrastructure & Capital is seeking a Vice President to support credit exposure analysis and calculation in the Americas and globally, with a primary focus upon securities transactions (both trading and financing transactions). The team work collaboratively to cover all Counterparty Credit markets and products within the region, providing for further growth/coverage as appropriate. Specifically, the candidate will be responsible for the below: * Acting as subject matter expert on Counterparty credit exposure/risks, with a primary focus upon securities-based transactions, providing advice to Credit Officers and helping guide methodology and policy updates * Having oversight over infrastructure & calculated credit exposures/risks, again primarily for securities-based transactions, including the calculation and review of exposure overrides (e.g. specific wrong way trades, margin loans) * Partnering with sales and trading on development and rollout of Counterparty credit exposure framework for new products or structures where risk expertise is required * Providing on-going support to Americas Credit Officers on counterparty credit exposure for new deals with complex structures or relatedness, including the explain and challenge of calculations by 1st line of defense * Manage firm-wide projects around key Counterparty credit exposure metrics, primarily for securities, & technical enhancements. Ensuring seamless delivery of current projects in flight (including limits re-sizing, training and familiarity for Credit Officers and other stake holders), as well as driving enhancements and further project completion * Working with QR and Technology amongst other stake holders teams to complete securities credit exposure modelling development, providing guidance and training on material methodology releases or model limitations to Credit Officers, liaising with Credit Officers on impact analyses from model changes * Supporting projects and stress testing for both internal usage and regulatory requests, such as CCAR, broadly & providing oversight within this for the securities-based transaction portfolio Qualifications * 8-10 years of relevant Risk / Counterparty Credit Exposure experience * Strong all-round knowledge of traded products, spanning securities (repos, cash securities) and derivatives * Appreciation of the main risk drivers for traded products, including ideally an understanding of the counterparty credit exposure. Knowledge of GMRA/MSFTA documentation including the mechanics of collateral arrangements * Strong sense of accountability and ownership of responsibilities, must be diligent and self-motivated. Highly confident and commercial, and have the conviction to challenge and make a risk judgment, stick to it and be able to articulate why this is the case * Relevant experience in oversight and delivery of multi-faceted projects. Strong time management skills and comfort with dynamically shifting priorities, timelines, and demands * Strong organizational, control, project management, communication and negotiation skills * Must be highly numerate and have prior experience of working in a quantitative or analytical role that covered complex structures and their risks * Excellent written and verbal communication skills.
