The Vice President, Legal is the senior attorney, compliance officer, and corporate secretary for the ADA Forsyth Institute ("AFI"), providing advice and counsel to AFI's executive management and Board of Directors on the risks, strategies, and legal implications of the Institute's policies, programs, decisions, and activities. This position provides a variety of legal services to AFI, including technology transfer and licensing, formation of spinouts, liquidation of technology ventures, compliance and risk management, corporate collaboration efforts, nonprofit law, agreements with international partners, corporate governance, employment law, research agreements and other complex contracts, litigation, and managing outside counsel.
Qualifications and Skills:
Juris Doctorate from an ABA-accredited national law school and excellent academic credentials.
Admission to the Massachusetts Bar (by Examination or by Motion under SJC Rule 3:01).
A minimum of 15 years' legal experience in a corporate, government, non-profit or law firm environment in a senior legal capacity, including experience in a scientific research institution.
Knowledge of issues and experience in contract, corporate, employment, and intellectual property law.
Knowledge of various grant and funding rules and regulations, particularly with the National Institutes of Health and other government agencies.
Hands on experience with technology transfer and related contractual disputes.
Experience with non-profit and for-profit structures.
Experience with corporate governance, corporate transactional law, government grants, emerging companies, venture capital, and private equity.
Experience with HIPPA and data privacy.
Excellent judgment and analytical skills and outstanding verbal and written communication skills.
Independent, self-starting individual with exceptional critical thinking abilities and excellent business judgment and business acumen.
A proactive, entrepreneurial mindset and a willingness to "roll up your sleeves" to get the job done.
Ability to work proactively, collaboratively, cooperatively, and as a member of a team, while empowering internal clients and colleagues and emphasizing accountability. Ability to build trust and establish effective working relationships with co-workers and Board members.
Ability to motivate employees and colleagues and communicate openly and honestly with various contingents within the organization collegially.
Ability to exercise reasoned judgment in addressing significant issues and develop legal strategies and objectives.
