Job Description

RockCreek is seeking a corporate lawyer to join our team in Washington, DC to work primarily on private fund investment management and related corporate and compliance matters. You will be working closely with investment, client services, compliance and other teams. You are highly motivated and have a passion for financial markets and investment management. And will have interest in and ability to stretch across multiple disciplines. The environment is fast-paced, dynamic, and requires juggling a large number of priorities. The right candidate will possess a high degree of integrity, find ways to improve internal processes and procedures, and commit to the continuous development and improvement of themselves, the team and the entire firm.

The candidate will be closely involved in:

  • Private fund investments and implementation of wide array of investments and corporate matters

  • Negotiation of investment management agreements and other agreements with institutional investors and general partners in private equity, private credit and venture funds

  • Manage and execute projects independently and maintain documentation evidencing compliance with internal policies and procedures

  • Corporate legal matters and corporate governance

  • Support and further initiatives driven by leadership team on a variety of matters


Skills required (essential):

  • A professional who processes information quickly and multi tasks to drive effective business results with high standards of work product and high ethics

  • Interest and ability to using current technology to foster efficiencies to scale operations

  • 2-3 years of private fund experience in asset management

  • Academic achievement; Law degree with US bar admission

Skills desired:

  • Excel in team-based environment

  • Enjoy being proactive and contributing to entire firm

  • Agility in SharePoint, Excel, databases and other tech tools

  • Affinity for efficiencies and data collection and organizational tools

Our community is a tight knit group of remarkable individuals interested in intellectual inquiry and making a difference in the world.</p><p>Requirements</p><p>Position Overview</p><p>Reporting to the President and serving as a member of the President's Executive Committee, the Vice President, General Counsel is the chief legal officer of the University, manages all the University's legal affairs, and provides advice and counsel to Georgetown's President, Board of Directors, and faculty, addressing the challenging issues that confront a modern, complex University engaged in teaching, research, and public service. The VP, General Counsel interacts with government officials as appropriate and is responsible for compliance with federal and local laws governing non-profit institutions of higher learning. The VP, General Counsel also supervises the University's Office of Ethics and Office of Risk Management.</p><p>Candidates with experience in senior legal positions (e.g., General Counsel or Deputy General Counsel) at large academic institutions are highly preferred. However, candidates with experience in senior legal positions within the federal government and candidates with experience as the General Counsel of a complex corporation will also be considered.</p><p>Key Duties and Responsibilities</p><ul><li><p>Represents Georgetown as its chief legal officer, serving as the legal representative of and senior advisor to the President, Board of Directors, administrators and faculty.</p></li><li><p>Leads, coordinates, and manages the legal services provided to Georgetown both internally and externally (i.e., manages and develops Georgetown's in-house legal team; selects and supervises outside counsel).</p></li><li><p>Counsels on issues of policy formulation, allocation of resources, and on the legal and tax ramifications of Georgetown's programs and operations domestically and abroad.</p></li><li><p>Ensures compliance with all laws, regulations, and rules enforced by federal and local regulators and appropriate global regulators; develops and maintains good relationships with relevant regulators.</p></li><li><p>Protects Georgetown's institutional integrity by advising on issues that present risk of impairment of Georgetown's reputation, and/or impact Georgetown's legal standing as a tax-exempt organization.</p></li><li><p>Advises on legal issues relating to Georgetown's Catholic and Jesuit identity.</p></li><li><p>Supervises the establishment and maintenance of legal entities abroad, the structuring of major contracts, the management of litigation, and the protection of Georgetown's worldwide intellectual property.</p></li><li><p>Supervises the legal work associated with financial and advancement enterprises.</p></li><li><p>Works closely with Georgetown's Board of Directors on all legal issues; serves with the Executive Committee and staffs the Audit Committee; responsible for monitoring Georgetown's Enterprise Risk Management (ERM).</p></li><li><p>Maintains oversight and becomes actively involved, as appropriate, on legal issues that confront Georgetown on a daily basis (e.g., labor and employment; student affairs and admissions; faculty matters; tax, trusts, and estates; biomedical research; online digital platform matters; strategic alliances and new ventures in research).</p></li></ul><p>QUALIFICATIONS</p><ul><li><p>A J.D. from an ABA accredited law school.</p></li><li><p>15+ years of legal experience with a solid and broad-based understanding of matters related to higher education law.</p></li><li><p>Membership in the District of Columbia Bar or the ability to obtain membership within one year.</p></li><li><p>Experience working in a highly regulated environment, negotiating complex agreements, managing litigation, assessing legal risk, and working on compliance issues.</p></li><li><p>Experience with HR issues, Title IX, and Diversity, Equity, and Inclusion (DEI) is important</p></li><li><p>Exposure to matters relating to real estate is an advantage.</p></li><li><p>Exposure to matters relating to the management of an academic medical center is helpful.</p></li><li><p>Understanding of matters relative to all forms of protection of intellectual property.</p></li><li><p>Experience managing a legal department and choosing and managing outside counsel.</p></li></ul><p>Major, Lindsey &amp; Africa (MLA) is assisting Georgetown University in this search.
