University Corporate/Transactional Paralegal, Office of the General Counsel

POSITION DETAILS

The Office of the Senior Vice Chancellor for Legal Affairs and General Counsel (OGC) at The City University of New York (CUNY) seeks an experienced Corporate/Transactional Paralegal to perform essential advanced and confidential paralegal work supporting attorneys in OGC's Business Affairs Unit ("BAU") with complex, time-sensitive legal, regulatory, and compliance matters affecting the University and its constituent schools and colleges. OGC is the system-wide leader and resource for legal advice and representation of the University, the Board of Trustees, the Chancellor, and the University's twenty-five constituent schools and colleges. Its services touch all operational areas of the University and its campuses, and supports CUNY's decision makers in advancing the University's educational mission by providing expert, relevant and timely legal advice, guidance and advocacy.

This position reports to the University Executive Counsels for the BAU Unit. The successful candidate will conduct initial contract reviews; draft, organize and maintain contract and real estate transaction files; conduct legal research; draft corporate governance documents, such as board resolutions, bylaws, and organization and dissolution papers; review inter-government agreements; notarize documents; and provide analytical and administrative support.

In addition to the position summary above and CUNY Title Overview below, other duties include, but are not limited to the following:

  • Review and process student internship, work study, and clinical affiliation agreements between CUNY and third-party entities.

  • Prepare and maintain form documents and form document resources.

  • Review and process Board of Trustees board resolutions.

  • Make trademark and copyright registration and maintenance filings.

  • Support University access to NYC and NYS resources.

  • Liaise with Counsel at the University's twenty-five constituent schools and colleges.

NOTE : Until further notice, this is a hybrid position, eligible to work remotely and on-site in the office.

QUALIFICATIONS

MINIMUM

Bachelor's Degree and four years' related experience required.

PREFERRED

  • Four years of paralegal or legal assistant work experience supporting corporate/commercial transactions.

  • New York State Notary Public certification or license.

  • Strong organizational skills with ability to establish plans, manage a large and varied workload of assignments with conflicting priorities, follow up and complete work by prescribed deadlines.

  • Ability to produce results as an individual contributor and as a team member by working effectively, collaboratively, and cooperatively with diverse stakeholders, constituents, and clients of various levels.

  • Computer Proficiency using standard office programs (Word, Excel, PowerPoint, SharePoint), legal software (Westlaw, Lexis), e-mail/scheduling programs (Outlook) and virtual meeting/conferencing and collaboration tools (MS Teams, Zoom, etc.).

  • Flexibility to work some evening hours.

  • Researches, gathers, and compiles case data; studies provisions and nuances of contract, collective bargaining agreements, CUNY policies, and laws or regulations and fulfills requests for information

  • Files and indexes case studies, actions, contracts, decisions, and other legal documents

  • May perform paralegal duties in a specialized unit, such as labor relations, contracts, or student immigration support

  • Performs related duties as assigned.

COMPENSATION AND BENEFITS

The salary range is $62,411 - $79,188 ; commensurate with qualifications, education and experience.
