  • Primary Job Functions:

Experience:

  • Minimum of 5 years of experience in commercial contracting in the energy industry

  • Experience and detailed commercial and legal knowledge of the principal customer-facing agreements or related experience

  • Proven success in commercial deal structuring, pricing strategy, and contract development and negotiation

  • Strong leadership, vision, business acumen and exemplary work ethic

Education:

  • Bachelors degree required

  • Juris Doctor or equivalent career experience, preferred

  • Masters degree in Business Administration, preferred

  • Strong cross-functional leadership skills

  • Exemplary customer service skills, interfacing directly with company heads, vice presidents, and legal counsel on "the other side of the table"

  • Strong legal acumen, negotiation and problem solving skills

  • Strong ability to identify, evaluate, and allocate risks.

  • Exceptional attention to detail with the ability to discern subtle requirements, nuances and differences within complex commercial and legal documents

  • Solid technical acumen and/or in-depth knowledge of solar power plant technology, construction, operation, maintenance and performance

  • Commitment to Scope of Authority and Business Code of Conduct; act and guide others with integrity

  • Exceptional written and oral communication skills

  • Highly effective time management skills, with the ability to execute on multiple negotiations and business objectives simultaneously

  • Contract drafting capability preferred

Essential Responsibilities:

  • Lead negotiation of principal customer facing contracts.

  • Develop and maintain relationships with customers' commercial counterparts.

  • Work with team members to ensure the contracting nuances of risk management, warranties, deliverables, tax, accounting, revenue recognition, permitting, bonuses, damages, costs, and schedule are understood and are consistent with SoA policies and procedures

  • Represent transactions Deal Review Committee process

  • Interface closely with Executive Leadership Team, legal, finance, accounting, tax, risk management, internal audit, and other critical functions essential to deal negotiations and approvals

  • Develop and maintain a streamlined negotiation process to minimize risk and reduce legal costs, while ensuring strict adherence to First Solar's Scope of Authority (SoA) policies and procedures

  • Follow procedures that ensure a timely and complete handover of executed commercial agreements to the execution teams responsible for delivering on contractual obligations.

  • Provide effective leadership to direct and indirect reports in support of commercial transactions

  • Work closely with cross-functional deal teams including EPC and Guarantees and Warranties to eliminate gaps, manage risk and deliver a cohesive set of agreements

  • Responsible for the timely preparation of draft agreements; ensuring that the legal, commercial, and operational obligations meet performance and profitability targets

  • Coordinate reviews of customer draft agreements and seek replacement with First Solar forms if possible; if not possible, understand and document deviations from First Solar's standard agreements and obtain SoA approvals as required

  • Ensure timely preparation and review of requests for proposals, term sheets, exhibits, warranties, guarantees, and other agreement documents to meet deal closing deadlines and customer schedules

  • Travel to customer locations as necessary for negotiations and relationship development; domestic and international travel required.

Responsible for the review of currency transactions for the purpose of Currency Transaction Report (CTR) filing, to ensure compliance with Bank Secrecy Act laws and regulations. Also responsible for identifying and escalating red flags and weaknesses within transactions and bank procedures that may circumvent BSA/AML controls. And support the bank's BSA/AML goals. Major Responsibilities: * Review Cash Reports and file CTRs - Review cash reports generated by the Currency Transaction Application (CTA) and other bank systems to determine if a CTR is required. * Must be able to prioritize multiple tasks to meet strict regulatory deadlines. * Cash reports include but not limited to the following: cash transactions reports, foreign currency reports, cash vault adjustment reports. * Must have the ability to understand bank transactions and independently decide if a cash transaction requires a CTR. * Must be detailed-oriented and summarize transactions clear and concisely. Amend and back file CTRs as needed. Complete CTR Exemption Reviews. Complete due diligence on cash intensive businesses for consideration for exemption from CTR filing. * Follow a template narrative and checklist to ensure client meets the exemption criteria. Subject Matter Expertise * Provide assistance to branch, cash vault, FIU, and other CTR specialists with any questions regarding cash and CTRs. * Coordinate with the IT group the transmission of the CTR submission tape to the IRS within the required timeframe. * Respond to any exceptions from the submission tape. * In conjunction with IT, perform and document any system testing required for upgrades to the Teller or CTA systems. * Provide the CTR Manager with any research related to CTRs. * Ensure alert and case determinations are appropriate, fully supported and documented. * Detect and escalate to management any unusual transactions that may violate BSA/AML policies. * Third party, MUB automated and manual systems are utilized for these tasks to ensure any possible suspicious activity is identified and the necessary actions are taken to ensure the Bank performs it duties related to the Bank Secrecy Act (BSA). * Liaison to other areas of BSA Ops and the bank to explain currency transaction activities. Qualifications: Additional Information: * Ability to become proficient with various third party data providers, internet resources, bank applications and automated systems used to monitor transaction activity, such as deposits, wires, cash, and monetary instrument sales, and Know Your Client (KYC) profiles, to conduct and complete their research and analysis of the alerted activity. * Additionally, capable of gaining a general understanding of MUB products and services and how they may be exploited for suspicious activities.
