Job Summary:

The overall purpose of this position is to advise clients domestically and internationally on employment law and a wide range of matters, including structuring, negotiating and drafting a variety of general and specialized agreements necessary for the day-to-day operations of a cutting edge global science and technology non-profit organization. The agreements to be handled include SASA (Staffing Agency Service Agreements), licensing, services, IT, product development, and consulting agreements, as well as customary commercial agreements relevant to a dynamic business environment. The ideal candidate will also have seven years of experience with general employment counseling, ideally with some experience on both the transactional side and litigation side.

This position reports directly to the General Counsel and Chief Compliance Officer. This role functions as a high level individual contributor.

Key Responsibilities:

Specific duties include but are not limited to:

  • Advises on, negotiates, and drafts both domestic and international commercial, business and operational contracts

  • Uses and modifies standard forms and templates in the marketing, publishing, education, technical conference and membership operations of IEEE

  • Trains various Organizational Units on issues relating to contract law and other legal subjects, as requested

  • Provides general legal advice to the Organizational Units of IEEE

  • Leads or collaborates, as required on additional legal projects of interest, as requested by General Counsel

  • Raises the profile of the Legal and Compliance Department within IEEE

  • Continuously develops personal and professional skills

VIEW JOBS 2/14/2020 12:00:00 AM 2020-05-14T00:00 TT01 Job Summary: In this role, the incumbent establishes a strong liaison with all levels of volunteers within the Technical Community to which assigned, on all matters related to the operations of the TC areas. It will be the role of the incumbent to evaluate how all areas of TC operations and their administration affect the experience of geographic unit members. He/she must have a clear understanding of the operations required to manage the TC areas and the activities they engage in. The incumbent is the subject matter expert on IEEE and TC policy documents pertaining to the TC areas and will advise and provide direction on matters that arise within the volunteer structure pertaining to policy interpretation. This level of feedback will provide volunteers with the ability to manage and interact properly in their respective units in a productive and efficient manner. He/She is responsible for TC policy documentation pertaining to the areas and will ensure it properly represents the intended goals of the TC Boards. He/she will ensure that TC policy documentation pertaining to the areas is complete and clearly written, thus providing volunteers with the knowledge and direct access to the information needed on how to govern and properly administer the areas under their responsibility. The incumbent will develop and implement an assessment plan of area performance and identify the drivers of high performing areas. He/she collaborates with other organizational units, team members and volunteers on areas that have direct impact on effectiveness. He/she will develop recommendations for TC areas to follow that include tools and best practices to be implemented. The incumbent delivers a communication plan that effectively explains the value of recommendations. The outcome of this effort will have a positive impact on the robustness of the TC area experience by the members it supports. This position will be expected at times to manage larger project initiatives that require his/her expertise of the TC area structure and operations and working relationships with other Organizational Units. He/she ensures that the TAB goals are understood and represented in the decision process of the project development phase. The role typically reports to a director and does not manager any direct reports. The incumbent works under minimal guidance and is expected to make quick, intellectually sound decisions to resolve a wide variety of issues, requests and challenges that will vary in complexity. IEEE and TAB policy documents will often be a main source of reference for inquiries and issues that arise. The incumbent will also have up to $5,000 in expenditure approval. He or she will approve expenditures within the materials and services budgets that support the Technical Communities. Essential Functions: Specific duties include but are not limited to: * Technical Community Program Operations & Governance Performance * Guides ExCom and AdCom of technical community. Handle meetings, agenda, minutes, and action items. Provides President and Vice President high level administrative support. * Oversees all Volunteer Relations Programs of assigned IEEE Society * Oversees Conference and Meeting Program to include MOU's and contracts, meeting specifications, webex & webinar coordination. Provides on-site assistance to drive the TC membership as well as IEEE membership as a whole. * Handles Finance & Budget Operations. Coordinates with Society Treasurer and the liaisons of related business units including conference and Technical Committee financial management. * Liaises with Corporate and Business management within the IEEE OU's for contracts and legal issues, risk (OFAC), TC Technical Communities, Sister Societies, TA Management and other IEEE councils. * Technical Community Program Management * Oversees membership and chapter development. Coordinates booths, publicity and promotional collateral materials, membership growth & retention programs, chapter formation and funding support * Liaises between the TC Education Committee and the IEEE Educational Activities Department and Board * Coordinates Awards and Grants Programs/Processing * Oversees society publications * Documentation and Communications: * Continuously improves the quality and information included in IEEE governance documents related to TC areas * Maintains website and handles re-design and launch. Key liaison for hosting companies, IEEE Web Presence staff and IT projects * Develops and maintains content development and distribution, e-news, and dissemination of information dissemination.
