The Transaction Advisory Services Tax Manager is an essential team member that will work to ensure engagements are executed timely and that client expectations are met, if not exceeded and support the overall delivery of the national TAS strategy. Our M&A Tax (TAS) practice services include deal structuring, due diligence, post-deal integration, tax attribute management, and opinions and ruling requests.

Qualifications

Education:

  • Bachelor's degree, J.D., LL.M. in Taxation, and/or Master's in Taxation (MST) from an accredited college/university required

Experience:

  • Five (5) or more years of relevant experience,
  • At least one (1) year of TAS specific experience preferred

License/Certifications:

  • CPA License and/or J.D. preferred

Software:

  • Strong Excel, Word and PowerPoint skills preferred

Other Knowledge, Skills & Abilities:

  • Experience managing multiple client engagements an client service teams

  • Excellent verbal and written communication skills

  • Ability to articulate complex information when providing crucial negotiation insights, etc.

  • Strong self-motivation with the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements

  • Must be technically competent across multiple US federal, international and state income tax disciplines

  • Fundamental working knowledge of all or essentially all non-income based federal, state and foreign tax regimes, including but not limited to indirect, payroll, property and ad valorem taxes

  • Understanding of US GAAP, including the accounting for income tax principles

  • Experience with tax controversy and procedure

  • Ability and willingness to travel, when necessary

The Tax Manager develops the skills and competencies of staff. The Tax Manager provides consulting services and assists with other projects such as mergers and acquisitions and Internal Revenue Service audits. Key Responsibilities: * Review annual and quarterly GAAP federal tax provisions for assigned NY separate companies and for consolidated Assurant, Inc. and Subs. Responsible for overseeing the preparation of the consolidated GAAP tax footnote and required disclosures. Work closely with Financial Reporting group to ensure that GAAP federal tax provision and footnote have been prepared accurately and timely. Ensure compliance with SOX controls. Identify modifications needed to provision process to account for organizational and tax law changes. Develop staff knowledge of tax provisions. * Coordinate and oversee the preparation and review of the annual consolidated federal income tax return. Oversee and review pro-forma tax returns for NY separate companies. Ensure that returns are prepared accurately and timely. Ensure all elections and attachments are included with the filed tax return. Oversee tax staff on the preparation of the consolidated return. Identify modifications and disclosures needed to tax returns to account for organizational and tax law changes. Develop staff knowledge of federal income tax returns. Review quarterly estimated payments and extension calculations. * Support tax department with assistance on special projects, research, M&A transactions, FATCA Compliance Process, and IRS audits. Communicate and promote teamwork. Provide advice, coaching, and training to junior tax staff. Develop and maintain contacts within the organization. Tax representative on various interdepartmental groups. * Responsible for managing and working with outside consultants on various tax projects and tax filings. Required skills/experience: * Requires a minimum of between six and eight years of tax experience. It is desirable to have an advanced degree in taxation, or at least two years tax experience in an insurance company or tax experience with CPA firm. * Requires the ability to build and maintain strong, credible business relationships. * Requires ability to self start and prioritize. * Requires excellent oral, written, and presentation skills. * Requires solid accounting skills. * Requires ability to dependably meet tax-related deadlines and produce quality work, and deal with shifting priorities. * Requires ability to process complex time sensitive data and information from multiple sources, make decisions based on this data, and effectively communicate the related required actions to a broad audience. * Requires ability to identify opportunities to streamline tax-related processes while achieving the desired results. * Requires ability to interact with diverse individuals to obtain information for tax returns and provisions. * Ability to travel. * Requires a Bachelor's degree in Business Administration, Accounting, or a related field. * It is desirable for the incumbent to have attained a Masters in Taxation. * CPA strongly preferred. * Requires thorough knowledge of tax accounting and tax research processes.
