Postmates is looking for a Stock Plan Administrator to manage our stock ledger and all aspects of our equity plans, including new grants, equity transactions, grant cancellations and expirations, and international sub-plans. The ideal candidate is a self-starter who combines strong technical and communication skills with a great attention to detail and an ability to balance competing priorities with good humor. This position will be an important part of our Finance team and will work closely with the leaders of the Legal, Finance and People teams. The position is located in San Francisco.

Monthly

  • Administer Company's equity programs including the processing all US and international employee stock transactions including the roll out of employee award grants, exercises, cancellations and the administration of an employee stock purchase plan

  • Manage and propose improvements to the process for the approval and communication of employee equity holding

  • Act as a liaison between employees and brokers and respond to inquiries from employees, payroll, HR, vendors, etc.

  • Support secondary stock sales review of documentation, calculations of gains, and updating of the capitalization table

  • System administrator for the equity system (Certent) including being first line support for employee system users and participate in evaluating alternatives

  • Manage and reconcile the capitalization table between stock custodian and Certent on a monthly basis

  • Provide equity data to accounting team such that they can calculate stock-based compensation expense. Provide information for the 10K/10Q footnote disclosures, reconcile common stock, additional paid in capital and related employee taxes against GL

  • Prepare stock reports for senior management and major investors

  • Design and conduct employee training on the company's equity programs

  • Work closely with global Payroll teams to maintain current and accurate income and tax files

  • Research and respond to HR on the impact of an employee's equity holdings when relocating to a different country or at termination

  • Plan and execute the transition of the stock administration function from a private company to a public company

  • Communicate and process data with various other external and internal sources (e.g.brokers, transfer agents, Human Resources, Payroll, tax and legal departments)

  • Responsible for maintenance of global tax jurisdictions and rates in Certent

  • Maintain and ensure SOX and internal policy compliance

  • Remain current on regulatory developments and changes for stock plan administration

  • Assist in enhancing and documenting equity-related procedures, policies and controls

Quarterly

  • Prepare and maintain pending grant list, review and validate data accuracy

  • Calculate Rule 701 limitation

  • Update quarterly footnote disclosure info to include but not limited to Option Rollforward schedule, assumptions table, etc.

  • Assist in the accounting for all stock based compensation including entering of assumptions, preparing monthly expense analysis and forecasting the future impact to the Company

  • Help prepare equity reports for public SEC filings, including Form 10-K, Form 10-Q and Proxy Statement and assist review of equity information included in the documents

  • Support and prepare requests from external auditors

  • Prepare and timely file Section 16 reports (Forms 3, 4 and 5) with the SEC

  • Participate in Financial Budget and Forecast exercises in regard to stock compensation expense

  • Assists with other or equity project(s) or analysis as assigned

Annual

  • Prepare support for the year end footnote disclosures related to equity transactions

  • Prepare and distribute various annual employee statements

REQUIREMENTS

  • Minimum 8+ years of progressive stock administration experience required of which, 4+ years of managing the Stock Administration function in a public company environment

  • Knowledge of international rules and regulations regarding equity awards for company's international subsidiaries preferred

  • Understanding of ADP Payroll, Stock broker Interfaces a plus

  • Strong understanding of U.S. GAAP accounting and relevant SEC regulations and extensive knowledge of stock administration, including knowledge of ASC718

  • This candidate will manage, maintain and seek continuous improvement of the stock function

  • Detail-oriented and supremely organized

  • Excellent interpersonal and communication skills

  • Able to practice effective time management and prioritization

  • Courage to take initiative, address problems and make continuous process improvements

  • Commitment to professionalism and personal growth

  • CPA and/or CEP designation preferred

  • System savvy and any other equity systems is a plus
