Overview

We are currently seeking a Stock Plan Administrator. In this role you will be primarily responsible for administering Discovery's global equity-based compensation programs. The qualified candidate will have in-depth understanding of the field's concepts and principles overseeing the operational work related to new hire, promotional, and on-going equity grants as well as the work required to maintain our global ESPP.

Responsibilities

  • Maintains participant data (e.g. new hires, terminations, etc.) in third-party administrator system

  • Ensures all participant stock plan transactions (grants, exercises, terminations) are correctly processed and settled in a timely manner.

  • Assemble grant agreement documentation, provide to third-party administrator, and facilitate acceptance when needed

  • Ensures adherence to plan document provisions.

  • Works with external consultants on issues such as income sourcing for mobile employees, tax and legal updates

  • Acts as an Equity Administration resource to employees and internal business partners providing them with complete and accurate information

  • Assist with the preparation and distribution of equity plan communication material, as required.

  • Works closely with Finance for accurate reporting including valuation, overhang, section 16 and Disqualifying Dispositions

  • Assist Legal in complying with SEC Forms 3, 4 and 5 filings.

  • Works closely with Legal to compile quarterly blackout list and communicate with third-party vendor about blackouts and affected participants.

  • Works closely with payrolls in various countries to ensure proper tax withholding, accounting and compliance.

  • Partners with Payroll Contacts to ensure that all plan enrollments, changes in enrollments, and withdrawals are accurately recorded and processed.

  • Performs routine audits to ensure that all data (grants, exercises, terminations) have been processed correctly. Adheres to all SOX and other established controls, reviewing and updating controls as needed

  • Reconcile stock issuances with transfer agent on a monthly basis, including audit of plan reserve balances.

  • Coordinates contribution files for the Employee Stock Purchase Plan for U.S. and International based employees. Works with third-party administrator to process the plan purchases.

  • Communicates with People & Culture and participants on a routine basis to answer questions about equity program. Periodically reviews equity program information on Discovery's People Portal for accuracy.

  • Completes surveys and assist with compiling benchmark data for equity plans

  • Perform other duties as required

Qualifications

  • Demonstrates exceptionally strong attention to detail

  • 3 to 5 years' experience of increasing responsibility in Equity Administration of a Global and Multi-state organization or consulting firm with similar clients

  • Experienced in all regulatory aspects of Global Equity Administration

  • Awareness and understanding of Global equity administration marketplace trends and knowledge of standard internal processes

  • Prior experience in administering a Global Employee Stock Purchase Plan preferred

  • Ability to be organized and work independently on routine tasks, with sound judgment

  • 4-year college degree in finance or accounting preferred

  • Prior experience working with Fidelity's Plan Sponsor WebStation (PSW) preferred

  • Minimum of CEP Level 2 preferred

  • Must have the legal right to work in the United States

Additionally, this position will work with the Infrastructure, Development, Data, and Information Security teams in a blended environment to ensure the confidentiality, integrity, and availability of cloud-based and internet accessible systems and services that support core business functions of K-VA-T Food Stores, Inc., and Food City. Essential Job Functions: * Anticipates internal and/or external business challenges and/or regulatory issues; and recommends process, product, or service improvements * Solves unique and complex problems that have a broad impact on the business * Contributes to the development of functional strategy, establish operational plans and procedures * Collaborate with a cross-functional team of application developers, operations engineers, architects to understand complex product requirements and translate them into automated solutions. * Collaborate with colleagues to support and improve architecture, systems, processes, standards, and tools. * Participate in architectural discussions to ensure solutions are designed for successful deployment, security, and high availability in the cloud * Assist with the design, and then implement, and maintain virtual server, storage, network, and security infrastructure while ensuring all solutions are properly monitored and instrumented * Work with application teams to migrate applications between private, public, and hybrid cloud environments where appropriate * Develop, implement, and test data backup and recovery, and disaster recovery procedures * Write and maintain clear, concise documentation, runbooks and operational standards including infrastructure diagrams while educating/mentoring product teams and junior engineers * Troubleshoot and resolve complex issues in development, test, and production environments * Deploy and maintain code for automating the creation of scalable/resilient systems/infrastructure Qualifications: * Experience in Software and/or Infrastructure required, with 3+ years desired in relevant infrastructure (systems/network), cloud, automation, and/or orchestration positions. * Knowledge of the offerings and capabilities of cloud computing platforms (Azure/GCP).
