This Sr. Commercial Counsel position will be responsible for providing excellent and pragmatic commercial contracting support for the US business, including leadership and support for all types of procurement and sales and operations contracting. This individual will manage contracted paralegals and contracted attorneys and will work with Legal Department colleagues to establish a common approach to contracting that supports an efficient, high quality and a client-focused experience. This individual will also manage and mature the Legal Operations functional area for the Legal department, with the objective of improving scalability and efficiency across people, process, and technology tools.
RESPONSIBILITIES / DUTIES:
o As part of this role, a successful candidate will be required to assess the Legal Operations maturity for the Department, including evaluating forms of agreements and playbook positions, standardizing risk profiles for contract provisions, and establishing contracting best practices. This attorney will also be on point to manage training of the Legal Department and stakeholders across the Company (including executive leadership) on any new processes for engaging Legal contracting.
o Work with Deputy General Counsel and other supporting members of the team to develop and maintain Legal Department operating norms, policies, and resources.
o Optimize the department's use of technology tools for contract management, knowledge & matter management
o Efficiently manage outside contracted resources and assist Deputy General Counsel in optimizing resource spend, and be a mentor and resource for the legal professionals in the procurement group.
o Be a thought leader in the department for best practices for Legal department operations and management, and lead the implementation of continuous improvement projects
o This role is responsible for procurement, operations, and sales contracting, and the successful candidate will recognize the different points of leverage with large SaaS providers, and lab industry suppliers, as well as be familiar with market terms for such contracts.
o Negotiate, draft and support key contracts for company stakeholders worth millions of dollars revenue and annual spend for the Company across all business areas such as Finance, Compliance, HR and Sales.
o Provide rapid, practical, pro-active business-oriented legal/commercial contract advice directly to business clients, and support these clients in negotiating price, deliverables, services scope, warranty, and other commercial terms.
o Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships
5+ years of experience as a licensed attorney with a top-tier law firm and/or in-house experience
Advanced contract drafting skills, with an orientation to teaching and train others in the department
Able to lead deal teams in complex in- and out-licensing arrangements, M&A, and other transaction structures.
Demonstrated leadership skills and team-orientation, with the ability to influence functional stakeholders and provide the business with pragmatic legal advice
Strong, clear communicator, able to "decide it", and communicate legal issues and solutions clearly and concisely
Experience in current best practices regarding contract management systems and running efficient legal operations processes
Demonstrated ability to think and decide quickly, manage multiple projects simultaneously, and to communicate legal issues and solutions clearly and concisely
Adept at thinking strategically and creatively, and developing processes to enhance efficiencies and maximize leverage with limited resources
Able to integrate and apply feedback in a professional manner
Able to prioritize and drive to results with a high emphasis on quality and effective counsel
J.D. degree from an accredited law school required.
Licensed to practice law in a US state or DC.
Strong command of US laws applicable to the medical device industry, healthcare, pharma, and health tech
Prior management experience of legal professionals
Knowledge of healthcare compliance considerations pertaining to US contracting on behalf of the company.
SalesForce.com systems experience, implementation of contract management systems, and/or project management training
