The Head of Legal Counsel & Contracts of Airbus Defense and Space, Inc. (the "Company") is responsible for advising the company and all Airbus affiliates on U.S. Government contract matters and supports Airbus Defense and Space legal organizational activities; is responsible for government contracts for the company's business operations and is part of the North America Legal & Compliance "One Roof" team.
Government Contracts: 40%
Lead Company lawyer for all aspects of U.S. Government contract matters including but not limited to regulatory aspects, policies, internal company strategy, acquisition regulations, etc.
Serves as the Airbus Corporate expert on all U.S. Government matters, ranging from acquisition policy and strategy to execution of Government contracts.
Supports the contracts department on all contract related matters of the Company.
Advise and inform senior management and program managers regarding contracting requirements, customer specifications and government regulations. Furnish legal advice and related training regarding bid formation and bid protests, contract execution and claims related to government contract and subcontract matters.
Advise on regulatory aspects regarding cost/price proposal strategies for complex programs, negotiation positions and reporting requirements.
Mentor contracts department staff members, to include contract administration, subcontracts, purchasing and government property.
Provide legal advice to programs, contracts sales and legal personnel in all business lines throughout Airbus SE on U.S. Government contract issues.
Oversee and direct the contracts department on all contract related matters of the Company.
Develop and maintain relationships with government clients and internal customers to facilitate the contracting process. Serve as main point of contact with customer's contracts office.
Develop and administer cost/price proposal strategies for complex programs, negotiation positions and reporting requirements.
Supervise and mentor contracts department staff members, to include contract administration, subcontracts, purchasing and government property.
Support related matters for the Company to include bid and proposal development; operations and development and bid and proposal strategy.
General Corporate and Legal Matters: 30%
Consult and coordinate with the North America Legal & Compliance "One Roof" team.
Advise and collaborate with executive, program management, and functional organizations for legal and customer support activities impacting ongoing business and future development opportunities.
Provide advice and support to Airbus affiliates in the US and overseas related to U.S. government and regulatory requirements, i.e., FAR, DFAR.
Advise all employees regarding legal compliance requirements and assist in the development of policies and procedures.
Draft, review and approve contracts and commitments made by or on behalf of the Company including purchase and sales agreements, leases, non-disclosure agreements, consulting agreements, memoranda of understanding, teaming agreements, partnership and joint venture agreements, and coordination of all M&A activity in the U.S.
Provide advice and legal counsel with respect to federal government procurements and in the review, drafting and negotiation of federal government and commercial contracts, such as prime contracts, subcontracts, purchase order terms and conditions, memoranda of understanding/agreement, teaming agreements, non-disclosure agreements, blanket purchase agreements, licensing agreements and other proprietary information agreements. Draft and structure agreements in accordance with Company strategy.
Provide counsel and direction on employment law and compliance.
Support merger and acquisition activities related to Company entities.

Qualified Experience / Skills / Training:
Minimum of 5 years of law firm, government and/or in-house corporate experience performing legal functions in the areas of government contracts, including but not limited to responding to RFIs, contract formation, FAR and related Agency Supplements, bid protests, contract claims, compliance.
Minimum of 7 years of experience managing bid protests and government claims, and in summarizing and presenting complex technical and commercial issues.
Knowledge, Skills, Demonstrated Capabilities:
Strong negotiation skills and ability to foster strong relationships with top management across Airbus, high ranking government officials and their advisors, external agencies firms, etc.
Superb judgment and decision-making skills. Demonstrated track record making sound business decisions based upon known variables, past experience and thorough risk assessment.
Subject matter expert in the analysis of terms and conditions of government prime/subcontract documents with demonstrated experience and strong working knowledge of FAR/DFAR, False Claims Act, and other acquisition supplements.
Familiarity with an international corporate environment.
High integrity and unsurpassed business ethics is expected.

Responsible for advocating legal and federal compliance strategies that support the company's business plans and strategies while minimizing financial, political and public relations risk to the Company. On a daily basis, he/she must advise senior members of management, including the CEO and CFO, of consequences of decisions made during the course of programming initiatives, policy implementation and commercial negotiations and help structure these transactions or initiatives so that they meet legal requirements and do not cause harm to the company's reputation.
Responsible for negotiating and preparing legal documents (including making decisions as to acquisition structure and negotiation strategy) selecting outside legal counsel and making strategy decisions with respect to litigation and settlement offers and bid protest actions, and make legal judgments on myriad issues on a daily basis on various areas of responsibility.
