Job Summary:

Reporting to Vendor Management and Shared Services, the Sourcing & Contracts Director provides leadership and experienced support of the corporate-wide Contracts Management department.

This role will support organizations' Bank-wide by providing subject matter expertise and strategic guidance within business and contracting components of the procurement process. And will develop& maintain policies & procedures for bank-wide vendor contracts management program, leads a team of direct & indirect reports to develop, prepare & negotiate contractual terms and conditions for new vendor contracts, contract renewals, amendments of existing contracts, and manage contractual issues.

Major Responsibilities:

  • Provide functional/strategic support and management leadership to direct and indirect reports as they:

  • Lead complex high risk vendor contract negotiations throughout contract lifecycle;

  • Analyze and leverage business requirements, minimize contractual, business and regulatory risk and maximize reward to bank; provide and communicate contractual, business and regulatory advice relating to contract terms and conditions;

  • Develop a negotiation strategy suitable for each vendor and lead each negotiation to successful completion

  • Develop direct team's skill level to continually provide value-add support, such as proactively engaging in business initiatives and driving ideas and suggestions

  • Establish performance criteria and evaluate staff in conjunction with established policy

  • Build relationships and influence the business units to proactively seek Contracts Management help on vendor negotiations, both pricing and terms

  • Provide strong business logic and contractual consultation to help business units formulate their ideas and move from a business idea into the contract phase

  • Understand market environments and emerging trends relating to vendor contract negotiations and contract development

  • Define near term opportunities and long-term strategies. Maintain ownership of the Vendor Risk Management document library, which includes template RFPs and best practice contracts built from best practice contracting terms and conditions

  • Provide functional support and management direction to Contracts Administrator as they: maintain bank wide contracts in the Vendor Risk Automation system; coordinate ongoing contract disposition with Vendor Relationship Managers;

  • Coordinate with Vendor Risk Administration to ensure the vendor risk is identified and properly managed from a contract perspective; coordinate quarterly quantitative and qualitative reporting of Contracts Managers output

  • Provide subject matter expertise to business units on best contract and negotiation practice

  • Act as escalation point for all contracting issues and resolution

  • Collaborate with business management to develop policies and procedures to ensure best contracting practices, address vendor management regulatory requirements and meet the bank's vendor contract risk mitigation objectives

  • Manage departmental budget, including variances and projections

  • Manage bank wide Vendor Management contract automation tool

  • Design and implement periodic quantitative and qualitative reporting of Contracts Management activities and output

  • Conduct periodic compliance review of the program and a quality control around contracts negotiated by the Contracts Managers

  • Conduct periodic compliance review of Sarbanes Oxley assertions.

  • Understand overall Vendor Risk Management program and associated regulatory requirements

  • Develop strong working relationship with Vendor Risk Administration team to ensure the Vendor Management Program works effectively and efficiently

Qualifications:

  • A minimum of 10 years of applicable professional sales or leadership experience and a demonstrated track record in successfully developing, negotiating, and managing complex agreements

  • Strong business background with a proven track record of strong business negotiation skills

  • Strong strategic vendor sourcing background with extensive background in RFP development and execution

  • Ability to understand the overall impact of sourcing commodity management

  • Strong, persuasive written and communication skills with one on one and executive level audiences

  • Experience in developing and managing contracts for multi-user products and services

  • Strong Project Management skills, which will be used to lead initiatives related to the bank's Risk Vision & Vendor Management activities

  • Strong PC skills, competent in Microsoft Word, Excel, Project, and able to learn and successfully utilize specialized software applications

  • Strong sales or leadership background or commensurate work experience
