Reporting to the Managing Director, Head of Enterprise Spend Management, the Sourcing and Contracts Manager, Managing Director is responsible for leading a team that manages and conducts medium to large complex transactions that result in the acquisition of good and services for the Bank and any other related vendor agreements. This senior role is responsible for the leadership, strategic direction, policies, and oversight of the processes related to executing these vendor transactions.
Manages both Sourcing Managers and Contract Managers; responsibilities include deal/transaction structuring, RFx management (Request for Proposals, Information, etc.), sole source negotiations, contract management, and vendor dispute resolution.
The scope of responsibilities includes both the business elements of the transaction as well as contract terms and conditions.
The Sourcing and Contracts Department acts as the transaction manager, primary negotiator and reviewer of contract documents and is supported by the Legal Department regarding contract issues and language that exceed guidance parameters.
This position manages a team that is front facing to the business for all procurement related needs and interfaces heavily with other Enterprise Spend Management (ESM) groups, including the Buy Desk and Procurement Operations for the purpose of directing work.
Ensures the Bank receives optimal value for its vendor expenditures, ensures contract language is in compliance with the bank's Risk Vision and Vendor Management directives, and all applicable laws, regulations and regulatory guidance, and communicates contractual and business risk to senior/executive management for approval.
Provides guidance to department members to facilitate due diligence relating to contract cost and risk exposure:
Provide contractual, business and regulatory advice relating to contract terms and conditions.
Understand market environments and emerging trends relating to vendor contract negotiations and contract development.
Provides guidance and lead team to provide SME (subject matter expertise) to business units on best contract and negotiation practice.
Engage SMEs and Legal as necessary through the contract process, draft and assemble:
Perform financial analysis related to creating and evaluating Total Cost of Ownership models.
Analyze business requirements and convert to bid specifications; assemble and configure Master Agreements and contract attachments from existing templates.
Draft, review, and edit other contract documents to support business requirements.
A 4-year college degree; MBA or other Master's Degree strongly preferred.
A minimum of 15 years of experience in sourcing and contracts negotiations, including management experience.
Strong business background with a proven track record of strong business negotiation skills.
Strong strategic vendor sourcing background with extensive background in RFP development and execution .
Ability to manage staff and drive performance improvement across a team, strong teamwork and collaboration skills, strong coaching and leadership skills.
Strong, persuasive written and interpersonal communication skills with one on one and executive level audiences.
Experience in developing and managing contracts for multi-user products and services.
Proficient Project Management skills.
Exemplary PC skills, competent in Microsoft Word, Excel and Project; ability to learn and successfully utilize specialized software applications.
