Position Overview

The Senior Documentation and Funding Manager will provide senior-level oversight to the Documentation and Funding Department, to ensure that the Bank's format and method of documenting commercial loans is accurate for all types of commercial lending and provides all required protections for the Bank. The Senior Documentation and Funding Manager is responsible for ensuring that all loans are documented and funded in accordance with commercial lending best practices, federal, state and local regulations, and Bank policies and procedures.

Responsibilities will include cross-departmental collaboration with the Commercial Process Improvement Team, Legal, Compliance, and Technology groups, to develop, implement, and maintain documentation processes, forms, and standards across multiple documentation providers and solutions. The position will also oversee the organizational structure of Commercial Documentation and Funding, to ensure consistent implementation of developed solutions.

Role and Responsibility

Continuously survey the market for documentation providers and make recommendations regarding the best solutions for all of Fremont Bank's commercial loan types. Documentation solutions may include software licenses for in-house documentation, third-party documentation providers, automated documentation, outside legal counsel drafting, and other documentation solutions.

Review proposals from all forms of documentation providers. Make recommendations regarding solutions which are aligned with the Bank's commercial product offerings, business objectives, and client needs. Complete vendor due diligence and contract negotiations, and prepare contracts for consideration by Executive Management.

Collaborate with Commercial Process Improvement Team, Credit Risk, Servicing, and Monitoring, as well as Commercial/Community Sales and IT/technology groups. Ensure documentation solutions can interface with the Bank's LOS, core systems, and data warehouse. Build documentation and funding processes that meet client and sales team objectives.

Manage relationships with all providers of documentation services, and ensure the Bank cost-effectively operates within contractual parameters. Review release notes for the Bank's documentation software solutions (including LaserPro or other software solutions) and lead implementation of upgrades. Enhance policies and procedures associated with software or other documentation provider changes as needed.

Develop and implement departmental training on documentation formats, processes, policy and regulatory changes, emerging technology affecting documentation and any other concerns that may arise from time to time.

Continuously evaluate SLA's for documentation and funding. Identify and manage to documentation issues which cause delay in document delivery. Make recommendations regarding SLA standards and department FTE requirements based on loan type and deal complexity, to ensure the Bank is delivering the highest level of service to all commercial product channels.

On complex transactions, manage communications with escrow officers, loan officers, and other third parties, to ensure efficient, timely loan fundings that meet client


Enhance other policies and procedures for documentation and funding as needed.

Other projects and duties as assigned by management.

Minimum Qualifications

  • Bachelor's Degree or equivalent experience

  • Must have five plus years of experience preparing commercial loan documents using Laser Pro or equivalent

  • Seven to ten years of managing and/or supervisory experience

  • Ten plus years of comprehensive commercial loan documentation experience along diverse product channels and through various formats, including preparation, negotiation, and interface with outside legal counsel

  • Comprehensive understanding of documentation of lender protections for all types of commercial loans

  • Experience negotiating contracts and working collaboratively with third party documentation vendors

  • Good understanding of banking and the lending process; legal entity documents and collateral documentation

  • Ability to work well under pressure in a fast pace environment

  • Strong analytical and problem solving skills

  • Excellent verbal and written communication skills

  • Ability to identify training opportunities and recommend training solutions

  • Ability to write effective and comprehensive procedures

  • Experience with complex commercial loan documentation

  • Experience with complex commercial loan fundings

  • Strong leadership skills
