We're currently looking for a Senior Counsel - Treasury & Capital Markets to join our team!

Job Summary

Provide decisive day-to-day legal counseling and advice across the enterprise, with an emphasis on treasury and capital markets and corporate governance. The Senior Counsel will play a key role in facilitating the provision of legal advice in Treasury and capital markets transactions, on corporate governance activities, and other transactional matters with other members of Legal, Compliance, and other key internal stakeholders

Job Responsibilities

  • Handle a variety of responsibilities, including interfacing with representatives from the Treasury, Tax, Internal Audit, and Accounting Departments, external auditors, trustees, rating agencies, internal and external counsel and personnel in other corporate departments.

  • Collaborate with fellow attorneys, paralegals, support staff, and business clients on projects and treasury transactions, including representatives from corporate's global legal departments and business clients.

  • Assist with the drafting, negotiating and review of various financial and lending arrangements, including term loans, guarantees and intercompany agreements, ABS transactions, advising clients on obligations under existing capital markets transactions and working with business clients on related matters.

  • Responsible for routine SEC filings for ABS subsidiaries, Reg AB compliance and assisting outside counsel in timely shelf filings for public ABS programs.

  • Capability of working with minimal supervision on multiple transactions simultaneously, able to identify issues (legal, tax, accounting and business) in draft transaction documents and assisting a highly active Treasury team.

  • Support corporate governance activities, including entity formation and management, legal entity structure, board resolutions, corporate secretarial duties, and other related activities.

  • Select, retain and manage outside counsel to support transactions, and ensure adherence to established legal budgets.

  • Provide legal advice and support to Nissan entities as requested, including Corporate Vehicles, NGRe and NESNA.

  • Licensing support for various Nissan entities

  • Review and support, as requested, for corporate transactions and negotiations, including non-disclosure agreements and general corporate agreements.

1.Job Knowledge and Skills:

Required Skills and Experience:

  • Experience representing corporate entities in public and private securities offerings and capital markets transactions.

  • Experience with Exchange Act reporting, SEC compliance, SEC disclosures, debt-equity offerings, Corporate Governance, Compliance Matters, Exchange Listing Matters, M&A..

  • Experience with corporate governance activities, including:

  • legal entity formation and maintenance,

  • Updating corporate governance policies and procedures.

  • Corporate secretarial duties.

  • Assistance with annual corporate filings.

  • Preparing for board and shareholder meetings.

  • Design, implementation and execution of corporate reporting and communications.
    2.Years of Experience:

  • 5+ years' experience as a practicing attorney advising on capital markets practice, including secured and unsecured borrowing and securities law, commercial transactions, commercial agreements, commercial finance, or with a sales finance company. Prior in-house and/or automotive experience is a plus. Familiarity with asset backed securities, medium term notes, corporate governance and corporate compliance a distinct plus.

  • Experience drafting and negotiating a variety of contracts, especially concerning financial services and vendor contracts and services

  • Excellent verbal and written communication skills

  • Highly developed business and technical acumen to understand our business and anticipate the nature and magnitude of issues that could arise in various settings.

  • Excellent legal research and writing skills; attention to detail

  • Ability to communicate effectively with all levels of employees and leadership including Boards of Directors

  • Be highly proactive, accountable, team-oriented, and capable of managing multiple competing priorities in a dynamic, cross-functional/cross-cultural business environment.

  • Proficiency with Word, Excel, and PowerPoint required

3.Education

  • JD degree from ABA accredited law school; member in good standing of bar in state of practice and eligibility to become licensed or to register as In-House Counsel in Tennessee or Texas (depending on job location)
