Coherent Corp. seeks an experienced trade and general compliance attorney to serve as legal counsel to the company and support global trade compliance projects, programs and initiatives. This position reports directly to the Associate General Counsel, Global Compliance (Trade Compliance). The attorney will also counsel internal clients across the Company on a broad array of legal matters, including other in-house counsel, and Company leadership. This position may be fully remote or located at one of Coherent's offices in the U.S.
Primary Duties & Responsibilities
General Responsibilities
Supports identification and resolution of complex legal issues requiring in-depth analysis, specialized knowledge, and sound judgment
Contributes to mission-critical, multifaceted projects as legal counsel to the corporation
Leads or advises, legally, on projects and initiatives as assigned
Balances Company business interests with fiduciary responsibility
Supports M&A compliance due diligence as legal counsel to the corporation
Liaises with external counsel and regulatory agencies as required
Global Trade Responsibilities
Provide issue identification, research and support for global trade compliance matters, including export controls, deemed exports, sanctions and embargos, anti-boycott laws, product classifications, export licensing, product diversion, global trade contract provisions, and customs and import-related matters
Conduct risk assessments and analyze impact of new regulations on the effectiveness of the corporate trade compliance program
Develop and implement enhanced trade compliance governance policies and procedures
Guide, as legal counsel, business personnel in handling complex classification and licensing questions
Support integration of trade compliance in core business processes, including new product introduction, procurement, sales, and information technology
Provide legal support to site level trade compliance personnel and coordinate on implementation of corporate policies and procedures
Develop and deliver legal and compliance training for Coherent personnel on global trade compliance requirements
Help identify and support new ideas and methods to effectively address legal issues and mitigate trade compliance risk
Conduct trade-related investigations and audits, develops recommendations, and supports issue mitigation and resolutions as counsel to the corporation under privilege
Manages issues relating to outside service providers, including freight forwarders
Education & Experience
A Juris Doctor Degree (JD) and admitted to practice law in good standing in at least one U.S. state or the District of Columbia
Preferred 5+ years of legal experience as in-house counsel or in an attorney/management consultant position at a Big 4, but relevant law firm or government agency experience will be considered
Preferred experience providing global trade-related legal advice at an international company in the semiconductor or tech industry
Experience with U.S. trade controls (EAR, ITAR, OFAC, Customs), as well as other international trade control regimes
Experience supporting multiple complex projects in a fast-paced and change-oriented environment
Skills
Strong verbal and written communication skills coupled with the ability to actively listen
Ability to collaborate with others and work cross-functionally
Ability to effectively build relationships across all locations and positions within the organization
Ability to learn and understand organization and how it functions in order to apply that understanding to projects and assignments
Self-starter and excellent teammate

Availability to speak with colleagues in international time zones is required

Ability to maintain trust and confidentiality
Working Conditions
Ability to work full-time during core business hours in a remote (home-office) or in-office setting
Ability to work extended hours (early morning, evening, or weekend), when necessary
Ability to travel domestically and internationally, when necessary
Physical Requirements
Ability to sit for an extended period of time
May require travel up to 25% of time
