Tenet is seeking a senior counsel to assist with general corporate transactional, securities and governance matters. This position reports to the Vice President, Assistant General Counsel and Assistant Corporate Secretary and works closely with senior members of management and the legal department. The Senior Counsel, Corporate Securities is responsible for providing legal advice and support in connection with a broad range of projects applicable to a large and active public company, including:

  • Securities: Assist with drafting and reviewing the proxy statement, 10-K, 10-Q, 8-K and other securities filings; interact with NYSE.

  • Board of Directors and Governance: Assist with board and committee meetings as well as the preparation of board and committee meeting materials, particularly those focused on corporate governance or executive compensation topics. The role may also include governance work in a complex corporate structure.

  • M&A: Draft, review and negotiate transaction documents for potential acquisitions, JVs, divestitures or other M&A deals; manage diligence, schedules and closings.

  • Finance: Assist with debt offerings, tender offers, restructurings, credit facilities and covenant compliance and analysis.

  • Contracts: Participate in occasional work relating to significant corporate contracts, such as Tenet's group purchasing organization or sourcing agreements, treasury documents, or major operations contracts.


Candidates must possess a minimum of five years' experience in a law firm or in-house setting, with preference given to candidates who have recently worked in a major law firm. No prior healthcare regulatory experience is required.

Juris Doctor Degree from an ABA Accredited Law School is required and fully qualified to practice in the applicable jurisdication.

S/He will be responsible for supporting the sales team pursuing opportunities in the U.S. Fed/SLED space, as well as the Canadian public sector space. This individual must be self-motivated and comfortable working in a fast-paced, sales-driven culture.  This position reports to our Senior Director, Commercial Legal Team, Channel and Public Sector.  The ideal candidate has 7+ years of related public sector contracting experience.</p><p>Responsibilities:</p><ul><li><p>Draw on public sector and technology transactions experience to provide leadership and ownership over dedicated comprehensive legal support for RingCentral's North American public sector sales program and transactions, including go-to-market counseling, RFx support, bid protest guidance, contract negotiation (e.g., MSAs, NDAs, and SOWs), rep/cert reviews, preparation of open records request responses, and contract dispute/performance advice.</p></li><li><p>Own support for and success in obtaining and renewing priority contract vehicles.</p></li><li><p>Lead efforts relating to the preparation, implementation, and optimization of forms, playbooks, processes, and procedures needed to scale, and mitigate risks associated with, RingCentral's public sector business.</p></li><li><p>Provide support and public sector expertise to other RingCentral attorneys where relevant, including with respect to international public sector procurements, channel, and strategic partners.</p></li><li><p>Collaborate and work with the public sector legal team's contracts professionals and provide escalations support and oversight.</p></li><li><p>Track new and emerging public sector policies, regulations, and trends.</p></li><li><p>Build cross-functional relationships; support or lead public sector and other legal initiatives as necessary or assigned.</p></li><li><p>Manage outside counsel matters and demonstrate the ability to properly scope work and manage etc.</p></li></ul><p>Qualifications &amp; Skills:</p><ul><li><p>JD with excellent academic credentials.</p></li><li><p>Admission to a state bar and compliance with all necessary licensing requirements.</p></li><li><p>7+ years of related public sector experience; 3+ years of in-house public sector technology transactions experience (cloud and/or telecommunications experience is a plus).</p></li><li><p>Deep knowledge and understanding of U.S. federal government procurement processes, laws, and regulations.
