Position Senior Counsel - Corporate, Securities and Corporate Governance; reports to Deputy General Counsel and VP, Corporate/Securities

  • Member of the Corporate & Securities legal group, which is responsible for advising the Board of Directors and senior management on SEC and NYSE compliance and corporate governance, as well as supporting the finance & accounting, investor relations, communications, treasury and executive compensation groups. Also responsible for managing the Company's global registered intellectual property and global subsidiaries.

  • This role will manage 1-3 employees.

  • Experience and familiarity with '33 and '34 act, including periodic reports (8-K, 10-Q, 10-K, proxy statements) and other SEC regulations, including Section 16 reporting obligations

  • NYSE rules and listing standards

  • Public company corporate governance

  • Ability to work directly with senior management and business leaders

  • Ability to work independently

  • Experience with mergers and acquisitions

  • Intellectual property (trademarks and copyrights)

  • Finance and accounting background

  • Familiarity with public company executive compensation

This self-motivated individual will be comfortable working in an exciting, fast-paced, performance-driven culture and will be responsible for handling securities compliance, corporate governance matters, general corporate matters and overseeing our patent portfolio with the support of external counsel. Position is based in our Dallas, Texas headquarters, and will report directly to our VP, Associate General Counsel, Corporate & Securities. Primary Responsibilities * Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, Proxy Statements and Section 16 filings; * Ensure compliance with SEC and Nasdaq rules and regulations; * Assist with corporate governance matters, including Board and Board Committee meeting support, Board Committee charters, insider trading policy compliance, executive compensation and other related matters; * Assist in managing domestic and international subsidiary governance and secretarial matters including drafting minutes and resolutions; * Oversee patent portfolio and work with internal stakeholders on IP strategy; * Collaborate with the Finance, Accounting, IR, PR and marketing teams on external communications such as earnings releases, press releases, investor presentations, marketing materials, and the company website; * Collaborate with and manage outside legal counsel on corporate, securities and patent/trade secret matters; and * Provide support for other projects, as needed. Education * Minimum Required: Appropriate legal qualification and admission to practice law in Texas. Experience * 5 years' experience functioning as an attorney in a law firm or as in-house legal counsel. Securities reporting and compliance experience is preferred.
