  • Commercial Real Estate Finance within PNC's Legal organization, you will be based in PNC's footprint.

The PNC Bank legal department's Business & Finance Group consists of more than 60+ attorneys and paralegals, with concentrations of lawyers in Pittsburgh and Philadelphia, PA and several other locations. The PNC Real Estate legal team, a unit within the Business & Finance Group, is seeking an experienced lawyer with expertise in commercial real estate finance to join the legal team supporting PNC Real Estate.

This attorney will be responsible for providing general legal advice and support to PNC Real Estate on a wide variety of matters of varying complexity relating to the broad array of PNC's commercial real estate finance products and services. While the primary focus for this attorney will be to support traditional commercial real estate finance portfolio lending (construction, project and permanent, including REITs), PNC Real Estate also includes business units which offer multifamily housing debt products, including agency multifamily financing (through Fannie Mae, Freddie Mac and FHA/HUD programs); servicing of third party commercial real estate mortgages, including CMBS portfolios (master, primary and special); syndication of affordable housing equity through Low Income Housing Tax Credit and Preservation investment funds; syndication of Historic and New Markets Tax Credit investments; and direct tax credit investments made by PNC (Low Income Housing, Preservation, Historic and New Markets). Experience providing legal advice and support with respect to any of those other product areas would be a plus.

The role involves extensive interaction with business and other stakeholders at all levels, including Product, Sales, Technology, Operations, Risk, and Compliance. Primary tasks include counseling the business on product development, new business initiatives, and legal and regulatory matters including trends and evolving issues; providing counsel in connection with drafting, reviewing and negotiating customer and vendor agreements and related post-closing questions which may arise; resolving customer inquiries and concerns; reviewing marketing materials; conducting training for the business; and monitoring legislative, industry and regulatory changes applicable to the commercial real estate finance business. The job requires the ability to identify risks to the company and practical ways to effectively address those risks. This attorney will also participate in special projects and assignments as needed.

This position requires the following areas of experience/expertise:

  • General knowledge of commercial real estate finance law.

  • General knowledge of banking law.

  • Familiarity and experience with legal issues arising out of complex secured lending transactions, including title and survey issues.

  • Strong contract drafting, negotiating, and issue-spotting skills.

  • Regular experience with complex transactions and demonstrated ability to identify and analyze issues and develop recommendations.

  • Knowledge of GSE multifamily lending issues is a plus.

  • Knowledge of LIHTC, Preservation, HTC and/or NMTC financing issues is a plus.

The ideal candidate will possess the following qualifications and credentials:

  • J.D. degree from an accredited law school.

  • Currently licensed to practice in one or more states

  • A minimum of eight years of experience, with at least five years representing financial institutions in the commercial real estate finance area.

  • Demonstrates strong judgment, sound decision-making and solid legal analysis and oral and written communication skills. Ability to effectively interact with line of business managers and other attorneys.

  • Uses knowledge of legislation, regulations and case law affecting practice area to think strategically, provide practical legal advice, develop policies and best practices, and ensure regulatory and legal compliance.

  • Has ability to represent PNC effectively in interaction with external counsel for PNC and with counsel representing other parties.

  • Self-starter with ability to work both independently and collaboratively, as appropriate.
