Senior Counsel - Procurement

Position Summary

The Senior Counsel will be a key member of the Legal Department, reporting and providing direct support to one of the Company's Associate General Counsels, as well as providing support as needed to other attorneys on a wide variety of matters for the Company's Global Sourcing Organization, including commercial contracts, vendor contracts, master service agreements, dispute resolution, acquisitions, and real estate. The Senior Counsel will liaise as needed with other support and business functions to resolve issues.

The Senior Counsel will report to the Associate General Counsel.

Location: The Senior Counsel's primary business location will be in the corporate headquarters in Somerset, New Jersey

In concert with Catalent's Patient First philosophy, this position is key in our efforts toward continuous improvement of our processes & information which will allow quality drug products to reach patients safely and efficiently.

The Role (daily responsibilities)

  • Draft, review, analyze, structure and negotiate purchase, supply, packaging, license and master service agreements, IT service agreements, SAAS agreements

  • Advise Global Sourcing personnel with respect to compliance policies, vendor relations, contract matters, regulatory issues

  • Assist in merger and acquisition activity; Assist in corporate governance activity

  • Provide general advice to management on a day-to-day basis

  • Provide advice and guidance for the accomplishment of the overall business objectives of the Company in compliance with applicable laws and regulations and avoidance of unacceptable risks; Provide informed cost benefit analysis when identifying risks

  • Develop a thorough understanding of and familiarity with the Company's business, its people, products, technology, markets, facilities, customers and competitors to identify trends and formulate structures and strategies accordingly

  • Ensure that all Company activities are conducted in compliance with internal policies and procedures

  • Make presentations to and train Company personnel on legal issues as needed

  • Supervise paralegals on certain tasks

The Candidate (requirements)

  • A record of outstanding academic achievement at the undergraduate and graduate levels

  • Admitted to practice in New Jersey (NJ in-house admission is acceptable)

  • 3 to 5 years of transactional/commercial law experience with a large law firm and in-house pharmaceutical experience

  • IT contracting, software licensing, SaaS contracts, HR service contracting all helpful.

  • A business person's lawyer with excellent judgement, particularly in determining the significance of legal matters and effectively measuring and minimizing risks

  • Strong organizational skills to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs

  • Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities

  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company

  • Ability to assume complex projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion

  • Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization
