Our client, a growing financial services organization in Chester County, PA, is seeking a Senior Corporate Paralegal to join their team in a newly created position! This role will support the General Counsel in matters related to corporate governance as well as investment and mutual fund management.

The Senior Paralegal will draft meeting agendas and Board and Committee meeting materials, in addition to attending meetings, drafting resolutions and minutes. This role will also assist in preparing disclosure documents and SEC filings.

Duties include, but not limited to:

  • Coordinating board and committee meetings, preparing certain board meeting agendas and materials, and uploading into Diligent Boards.

  • Drafting and filing of various documents for investment adviser and mutual funds (including N-1A, 485A, 485B, and 497 filings).

  • The annual 15c review process, including coordination with service providers.

  • Drafting investment management and sub-management agreements and related amendments as needed.

  • Managing and maintaining corporate documents, including drafting resolutions, preparing necessary certificates, officer lists, and organizational structure charts.

  • Performing legal research.

  • Monitoring law changes of the applicable laws and regulations.

  • Completing and filing other regulatory filings as needed.

Qualifications:

  • 3+ years of experience as a Paralegal, focused on investment management and corporate matters.

  • Experience with investment advisers, investment funds and/or investment management and experience working and coordinating with boards and committees is a plus.

  • Bachelor's degree or equivalent.

  • Knowledge of federal securities laws and regulations and related filing requirements.

  • Knowledge of Investment Advisers Act of 1940 and the Investment Company Act of 1940 and related rules.

  • Ability to maintain strict confidentiality.

  • Ability to multi-task and shift priorities to meet moving and demanding deadlines.

  • Strong attention to detail and organizational skills.

  • Strong emotional IQ and people skills.

  • Dedication and a commitment to professionalism, teamwork, collaboration, and mutual respect.
