Senior Corporate Counsel position will support Weatherford's corporate legal team and assist in achieving strategic business objectives by providing high quality legal support in all areas of corporate, finance, securities and financial reporting, internal restructurings, and as needed, merger and acquisitions.


Provide legal support to treasury departments (e.g., for credit facilities, debt offerings, equity offerings) and ongoing compliance matters

Draft minutes and board resolutions of all types

SEC reporting, including Section 16 reporting, 10-K and 10-Qs.

NYSE reporting and compliance

Provide assistance to corporate secretary with corporate governance and public company board matters

Contract drafting and negotiation (e.g., letters of intent, confidentiality agreements, finance arrangements, professional service and joint venture agreements)

Coordinate with hemisphere and geozone legal counsel, worldwide paralegals, and assist various internal clients with business support

As needed, participate in the organization, support, documentation and closing of divestiture & acquisition transactions (at all stages) with appropriate transaction dependent levels of supervision

10-15+ years applicable experience

J.D., Law

Licensed to practice law in the state of Texas

Should be willing maintain flexible schedule to meet corporate needs

Experience in general corporate, finance and securities work

Conscientious with strong work ethic

Strong written and verbal communication skills

Strong ability to prioritize workload

Able to remain calm and composed under pressure and in an environment of rapidly changing demands

Excellent counsel and business partner

Ability to fit in an environment which is collegial yet demanding of excellence and fast-paced.


Oilfield experience (in-house or firm)

Ability to interface with senior management

Ability to supervise outside counsel

Minimum Qualifications EDUCATION / EXPERIENCE * Juris Doctor Degree in Law plus a minimum of 3 to 5 years specified legal experience as an attorney. * Currently licensed to practice law in Texas. Prior experience drafting and negotiating contracts related to Oil and Gas Refining Operations, Marketing, and Credit Operations, including sales and purchase contracts. * Experience related to Oil and Gas Refining Operations, including marketing, pipelines, terminals, product supply, distribution, trading, and/or crude supply is preferred. SKILLS, and ABILITIES: Ability to provide value-added and proactive legal services with respect to increasingly complex legal matters and to draft and negotiate increasingly complex legal documents and memoranda under minimal oversight. Ability to collaborate with, and effectively utilize, internal and external counsel resources under minimal oversight. Ability to make timely and appropriate decisions within areas of responsibility under minimal oversight. Ability to identify and evaluate increasingly complex alternatives and recommend strategies and courses of action to assigned clients under minimal oversight. Skills and ability to effectively use available technology resources. Ability to proactively identify issues and problems related to assigned areas of responsibility and determine creative solutions. Ability to answer complex legal questions. Possesses professional demeanor for dealing with internal and external customers; ability to interact effectively and frequently with middle to senior management and staff. Ability to work toward assigned objectives. Ability to research, analyze, evaluate and interpret increasingly complex data, draw on past experience and apply legal principles to support findings and opinions.
