The Senior Corporate Counsel is part of TeleTracking's legal department, which is responsible for the legal affairs and legal administration for the Company. The Senior Corporate Counsel will have primary responsibility for a wide range of technology transactions and business models and will assist with the design and improvement of legal department frameworks to ensure legal compliance and support of the Company's strategic objectives. This role will report directly to the Senior Vice President, General Counsel.


  • Draft and negotiate agreements relating to software technology and services with various deployment models (on-premise, managed service, SaaS, public and private cloud arrangements, and system integration).

  • Provide guidance on data protection, privacy, security, HIPAA, GDPR, etc., and issues related to exploitation of data.

  • Address and/or manage all the intellectual property needs of the business.

  • Provide accurate legal guidance to management on matters that affect the Company.

  • Ensure that the Company is complying with all current business process laws.

  • Direct, develop, motivate, and drive performance from legal team.

  • Provide for the implementation, counsel, and ongoing management on a range of compliance, risk management, corporate governance and policy matters.

  • Execute or assist in the execution of mergers and acquisitions, business development and partnership and corporate transactions.

  • Research and anticipate unique legal issues that could impact the Company.

  • Provide training to the Company on legal topics.

  • Commit to promoting a mission oriented, ethical workplace.


  • Juris Doctor from an American Bar Association accredited law school

  • Member of, and admitted in good standing, the Pennsylvania State Bar


  • 15+ years of relevant legal experience.

  • Direct experience in the following areas: technology licensing, procurement and compliance, data security and use of data, GDPR, HIPAA and HITECH, corporate governance, strategic transactions, intellectual property and contract negotiation.

  • In-house experience (preferably a software and/or healthcare organization) combined with large law firm training.

  • Substantial experience with SaaS model contracts and related legal and business issues.

  • Ability to convey strong and prompt communication while consistently adapting and prioritizing in a fast-paced environment.

  • Strong interpersonal and presentation skills, along with the ability to communicate and collaborate effectively with others at all levels of the organization across multiple teams.

  • Proven ability to identify and analyze legal issues, draft key documents, present clear recommendations.

  • Quick learning self-starter with an outstanding record and demonstrated ability to work with minimal supervision.

  • Tactful with strong internal and external negotiating skills.

  • Detail oriented, well-organized, and technically adept.

  • Proven leadership experience in project and people management, virtually and in person.

VIEW JOBS 5/10/2020 12:00:00 AM 2020-08-08T00:00 Description Under the direction of the VP Chief Audit & Compliance Officer and Project Managers, the Corporate Compliance Project Manager is primarily responsible for supporting the organizational oversight, mission and goals of the Corporate Office of Ethics and Compliance. Assistance and support shall include highly complex analysis of data and information sets for company-wide initiatives, research and analysis of state and federal regulations and industry guidance for dissemination across the UPMC organization, monitoring and compiling of reports of compliance activity and behavior throughout the organization as identified through compliance reporting mechanisms, and conducting highly complex and sensitive internal investigations and audits in support of the Corporate Compliance Plan and various underlying compliance programs. The Corporate Compliance Project Manager will also provide guidance and support to entity Compliance Officers throughout the organization. The incumbent is expected to contribute to the implementation and success of ongoing departmental goals. Responsibilities: * Serve as primary support for the Corporate Ethics and Compliance offices efforts relating to Revenue Cycle and other special project compliance activities. * Oversees junior Corporate Compliance staff, as required. * Facilitate internal investigations * Contribute to ongoing departmental goals. * Help to enhance and maintain internal and external websites. * Possess understanding of health care and industry terminology and risk * Assist in developing, maintaining and exhibiting departmental professionalism and reputation. * Effectively communicate and support the values of UPMC to employees at all levels of the organization. * Facilitate responses relating to external government audits and investigations for all entities. * Perform chart reviews and associated research to assess compliance with coding and billing regulations. * Review and enforce adherence to investigatory workflows for compliance purposes. * Collaborate with leadership from relevant operational departments in order to identify and mitigate risk issues at the entity level. * Assist leadership on special projects, as assigned. * Contribute to ongoing compliance monitoring activity, including conducting tracking and trending efforts to identify risk patterns and create appropriate remediation plans. * Contribute to the establishment and maintenance of departmental and system-wide policies, procedures and tools to support compliance activities. * Contribute to the planning, developing and presenting educational and training materials related to specific compliance topics, including annual mandatory training modules, to be utilized across the UPMC organization. * Research, compile and interpret state and federal regulatory and industry guidance, as well as internal data, for purposes of analysis and creation of organizational guidance.
