The Senior Corporate Counsel is part of TeleTracking's legal department, which is responsible for the legal affairs and legal administration for the Company. The Senior Corporate Counsel will have primary responsibility for a wide range of technology transactions and business models and will assist with the design and improvement of legal department frameworks to ensure legal compliance and support of the Company's strategic objectives. This role will report directly to the Senior Vice President, General Counsel.
PRIMARY DUTIES AND RESPONSIBILITIES
Draft and negotiate agreements relating to software technology and services with various deployment models (on-premise, managed service, SaaS, public and private cloud arrangements, and system integration).
Provide guidance on data protection, privacy, security, HIPAA, GDPR, etc., and issues related to exploitation of data.
Address and/or manage all the intellectual property needs of the business.
Provide accurate legal guidance to management on matters that affect the Company.
Ensure that the Company is complying with all current business process laws.
Direct, develop, motivate, and drive performance from legal team.
Provide for the implementation, counsel, and ongoing management on a range of compliance, risk management, corporate governance and policy matters.
Execute or assist in the execution of mergers and acquisitions, business development and partnership and corporate transactions.
Research and anticipate unique legal issues that could impact the Company.
Provide training to the Company on legal topics.
Commit to promoting a mission oriented, ethical workplace.
Juris Doctor from an American Bar Association accredited law school
Member of, and admitted in good standing, the Pennsylvania State Bar
EXPERIENCE & SKILLS
15+ years of relevant legal experience.
Direct experience in the following areas: technology licensing, procurement and compliance, data security and use of data, GDPR, HIPAA and HITECH, corporate governance, strategic transactions, intellectual property and contract negotiation.
In-house experience (preferably a software and/or healthcare organization) combined with large law firm training.
Substantial experience with SaaS model contracts and related legal and business issues.
Ability to convey strong and prompt communication while consistently adapting and prioritizing in a fast-paced environment.
Strong interpersonal and presentation skills, along with the ability to communicate and collaborate effectively with others at all levels of the organization across multiple teams.
Proven ability to identify and analyze legal issues, draft key documents, present clear recommendations.
Quick learning self-starter with an outstanding record and demonstrated ability to work with minimal supervision.
Tactful with strong internal and external negotiating skills.
Detail oriented, well-organized, and technically adept.
Proven leadership experience in project and people management, virtually and in person.
