HP is seeking a highly motivated Senior Corporate Counsel to join our Corporate and Securities team. You will work on everything from SEC reporting and earnings, to corporate governance, executive compensation and stock matters, and international subsidiary management. A strong background in general corporate practice, with experience in SEC reporting for a multi-national corporation required.

You Will

  • Work collaboratively to prioritize business objectives and manage the corporate aspects of being a large cap public company

  • Contribute to corporate governance matters, including SEC and international regulatory filings, the preparation of Board and Committee materials, charters, and company policies

  • Advise on ESG and sustainability reporting

  • Assist with subsidiary management and corporate governance

  • Work closely with HP's Global Equity team on Section 16 reporting and Insider Trading Compliance Program

  • Support HP's Treasury team on share repurchase programs, credit facilities, commercial paper program and other Treasury matters

  • Collaborate with HP's Finance, Treasury, Investor Relations and Communications teams on external communications, investor relations and securities analyst meetings

  • Provide support for other projects, including working on a range of complex equity and securities issues (including financings and M&A)

You Have

  • 8+ years of relevant securities or general corporate experience, including experience with public company reporting

  • A combination of both in-house and major law firm practice experience is preferred

  • A team player attitude; ability to easily handle multi-tasking between shifting priorities, lead cross-functional groups, and operate in a fast-paced, flexible, culture

  • A proactive approach to recognizing needs, anticipating issues, and solving problems

  • Ability to work nights and weekends as needed

  • High ethical standards; ability to maintain the confidentiality of non-public corporate information

  • Strong attention to detail and organizational skills

  • Good foundation in drafting and negotiations

  • Ability to think strategically and develop creative solutions to novel issues

  • J.D. degree

  • Membership in at least one state bar (preferably California)

Responsibilities: * Lead and inspire a team of regional and corporate communications professionals, who develop and execute integrated communications, and encourage the most creative and effective possible outcomes that tie messaging to strategy. * Constantly builds skills and processes within the team to ensure the team is using various levers of communication as a key part of business strategy. * Identify and leverage macro trends to inform and position business narratives. * Create and execute multi-layered communications plans to place these narratives into the right channel (i.e., internal, social, and earned media.) Use analytics to track effectives of programs. * Forge strong connections with Varian's Corporate Marketing, Human Resources, IT and Finance groups as well as senior leaders (business unit and corporate function leaders) and internal and outside partners to effectively message the company's successes, innovation story, strategic themes, and differentiating capabilities to a broad audience of opinion leaders. * Partner with Marcom strategists to integrate key business, product, and brand messages in employee and media communications. * Execute integrated communications programs focused on a variety of issues, including change management, M&A/integrations, employee engagement, HR communications, internal branding and reorganizations, and corporate narrative. * Protect Varian's image, as well as spotlight the progress of the company and its leaders through proactive, compelling messaging. Look out over the horizon to anticipate potential crisis situations and help to avert and/or prepare for them. * Coordinate with Government Relations for local, state, and Federal government relations efforts, to include development of company positions on key public policy issues, key leader contact plans, and effective communication strategies in support of lobbying efforts. * Support Business leaders in their efforts to communicate strategy internally, especially with town halls, internal team communication, social media, etc. * Develop a public relations calendar with investor relations for the timing of press releases. Working with key stakeholders, draft, review and route with appropriate senior leaders press releases. * Working closely with marcom strategists, agencies and vendors, manage requests for ongoing writing, editing and design work in support of employee communications and media relations. * Leverage existing journalist relationships to drive earned media growth. * Prepare and adhere to budgets including personnel, agencies, travel and other office essentials. Requirements Education and Experience * Bachelor's degree in Communications or a related discipline such as journalism, public/government relations * 10-15 years' experience in positions providing deep substantive knowledge of internal and external communications. * Experience presenting to Boards, state agencies, and media organizations in a manner that frames the issues, delivers a concise message, and influences the discussion to achieve favorable outcomes.
