The BlueLinx Law Department covers a full range of legal matters, including commercial negotiations, corporate governance, employment matters, litigation and dispute resolution, mergers and acquisitions, and intellectual property development and protection. The Senior Corporate Counsel position will work under the supervision of, and will report to, the General Counsel, and will provide legal support for external reporting, corporate governance, corporate development and treasury matters. Other responsibilities will include general corporate legal support, with a focus on complex commercial contracts, routine real estate matters, and subsidiary maintenance and governance matters.

  • Understands the company's vision, mission, and strategy; understands business unit objectives and sets/accomplishes individual performance goals accordingly.

  • The principal duties and key areas of responsibility of the position are expected to include:

  • providing legal support in connection with the company's periodic SEC disclosures (including annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K) and quarterly earnings announcements;

  • advising on securities law and investor relations matters including compliance with Regulation FD and Regulation G, stockholder communications, and the company's disclosure controls and procedures;

  • supporting the General Counsel in all matters relating to the BlueLinx Board and its committees, including the organization and conduct of regular and special Board and committee meetings, the preparation of regular and special meeting materials, resolutions and minutes, the preparation and periodic updating of charters and policies, and general corporate governance matters;

  • supporting the company's treasury function, including assisting with amendments to existing credit facilities, the negotiation of new and renewal credit facilities, and regular credit facility covenant compliance;

  • providing legal support for the company's corporate development efforts, including acquisitions, divestitures, investments and joint ventures, from NDA through closing;

  • engaging and supervising outside counsel on various matters;

  • working closely and developing strong relationships with the company's functional organizations (e.g., Tax, Treasury, HR), and interacting with and advising senior executives and other employees; and

  • performing other duties and responsibilities as directed, including assisting as needed with complex commercial transactions, routine real estate matters, tax-planning transactions and subsidiary maintenance.


Qualified candidates must have 5+ years of related law firm or in-house experience, and a JD from an ABA approved law school. The ideal candidate should have significant experience with SEC filings and securities laws, and experience with, or exposure to, mergers and acquisitions and capital markets or financing transactions, and a strong desire to develop a broad-based inhouse corporate practice. Candidate must be willing to learn in a fast-paced environment. Candidate must be a member of the Georgia bar or be eligible to practice as an in-house attorney in Georgia.

As part of the ASBD Sustainment Americas, AFRICOM, CENTCOM, INDOPACOM (AACI) team, this position will be responsible for leading and supporting the sustainment portion of multiple simultaneous captures related to C-130, F-16 and F-35. Must be able to travel domestically & internationally. The successful candidate will be responsible for aligning and adapting the Strategy outlined by the ASBD Sustainment Director for AACI, the overall Enterprise Sustainment Campaign team, Advanced Development Programs (I&D) and other Sustainment program members to secure executable captures. They will be accountable to shape and win new and continuing sustainment business through a balanced focus on customer value, the competitive environment, and the corporation's best interests. Lead and support pursuit & capture campaigns, proposal development, color teams and communication strategies including tradeshows, conferences and symposiums. Lead internal LM teams in the creation of briefings, information responses and white papers that are used internally and externally to inform senior leaders of both government and industry. Coordinate Technical Assistance Agreements, export license and USG advocacy requests. Host visitors, including high-level military, government and industrial personnel. In addition, provide program briefings and communicate F-35, F-16, and C-130 Air System and Sustainment value propositions. Manage day-to-day sustainment business development activities to include: coordination of visits; program information updates; collection of briefings and presenting in support of visits; war room creation; support of significant events; strategy development in support of pursuit & capture activities; and the planning of campaign team & strategy meetings. Develops/coordinates development of reports to LM Aero and LM Corporate on the status of Sustainment business development activities via preparation of focus charts, status reports, highlight reports, stoplight charts, white papers, program pursuit papers, meeting papers and other internal reports used up to the President and CEO levels.
