The Senior Corporate Counsel position will work under the supervision of, and will report to, the General Counsel, and will provide legal support for external reporting, corporate governance, corporate development and treasury matters. Other responsibilities will include general corporate legal support, with a focus on complex commercial contracts, routine real estate matters, and subsidiary maintenance and governance matters.

The principal duties and key areas of responsibility of the position are expected to include:
providing legal support in connection with the company's periodic SEC disclosures (including annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K) and quarterly earnings announcements;
advising on securities law and investor relations matters including compliance with Regulation FD and Regulation G, stockholder communications, and the company's disclosure controls and procedures;
supporting the General Counsel in all matters relating to the BlueLinx Board and its committees, including the organization and conduct of regular and special Board and committee meetings, the preparation of regular and special meeting materials, resolutions and minutes, the preparation and periodic updating of charters and policies, and general corporate governance matters;
supporting the company's treasury function, including assisting with amendments to existing credit facilities, the negotiation of new and renewal credit facilities, and regular credit facility covenant compliance;
providing legal support for the company's corporate development efforts, including acquisitions, divestitures, investments and joint ventures, from NDA through closing;
engaging and supervising outside counsel on various matters;
working closely and developing strong relationships with the company's functional organizations (e.g., Tax, Treasury, HR), and interacting with and advising senior executives and other employees; and
performing other duties and responsibilities as directed, including assisting as needed with complex commercial transactions, routine real estate matters, tax-planning transactions and subsidiary maintenance.
Qualified candidates must have 5+ years of related law firm or in-house experience, and a JD from an ABA approved law school. The ideal candidate should have significant experience with SEC filings and securities laws, and experience with, or exposure to, mergers and acquisitions and capital markets or financing transactions, and a strong desire to develop a broad-based inhouse corporate practice. Candidate must be willing to learn in a fast-paced environment. Candidate must be a member of the Georgia bar or be eligible to practice as an in-house attorney in Georgia.
