THE PURPOSE:
We are looking for an experienced Senior Corporate and Securities Counsel to join Virgin Hyperloop One's Legal Department and take ownership of the legal aspects of the Company's equity, financing and corporate governance matters. The team is busy and expanding so we are looking for a self-starter who can hit the ground running.
THE ROLE:
Responsibilities Include:
Leading execution of financing transactions, including drafting and negotiating term sheets and definitive documents for various types of financings, leading due diligence and disclosure efforts, ensuring legal compliance of offerings and completing securities filings
Managing the company's capitalization table and administering the equity incentive plan, in conjunction with our paralegal and financing department
Communicating with stockholders and potential investors on legal matters
Advising on corporate governance matters, preparing materials for Board and stockholder approval and ensuring compliance with company Bylaws and Delaware and other applicable laws
Partnering with commercial and finance teams to provide structuring and strategic advice on new initiatives
Advising on matters such as subsidiary formations and operations, secondary transactions
Handling foreign qualifications
Working with in-house subject matter experts and outside counsel to provide specialized services to the company in a cost-effective manner including project management, effective budgeting and proper allocation of resources
Advising the business on a wide range of day-to-day issues that require legal review
Working with foreign local counsel on the foregoing to the extent there is an international component
Handling various regulatory compliance issues
Projects as assigned
THE CANDIDATE:
Strong work ethic, high integrity and a genuine interest in technology
Ability to proactively identify issues (including regulatory and tax)
Ability to work independently, with appropriate oversight, as well as part of a larger team of attorneys and business professionals
Ability to learn new substantive areas and pitch in on various matters outside of core competency as needed
MINIMUM REQUIRED EXPERIENCE:
Be admitted to the California bar OR be admitted to at least one US state bar and be willing to become registered in-house counsel
Have experience at a leading law firm working on a wide range of corporate transactions and securities compliance
PREFERRED EXPERIENCE:
Have prior in-house experience and/or experience representing early stage/high growth companies
Have some experience in one or more of the following areas: employment law, commercial transactions, government regulation and technology transactions
