Job Summary:

Participates in the development and fulfillment of contract requirements by examining estimates of materials, equipment, production costs, performance requirements and delivery schedules. Prepares bids, process specifications, test and progress reports, and other related items. Reviews bids from other firms for conformity to contract requirements and determines acceptable bids. Negotiates contracts and amends as needed. Acts as liaison between company and subcontractors to implement fulfillment of contracts. Works on more complex contracts, with limited supervision. Remote / Work From Home

Basic Function:

As the Senior Contracts Specialist, you will be responsible for the coordination of the preparation of the contract as well as overall management of the contract lifecycle for the CT business Unit. Within the contract lifecycle you will manage and participate in all phases of the contract administration process from inception through completion. You will be responsible for the entire lifecycle of all RFP, RFI, Questionnaires etc. activity flowing through the organization. In this role you will interact with individuals in several departments including legal and sales.

Job Qualifications (Minimum Experience):

  • Experience: 3+ years in related Deal Desk, Contract support, Sales Operations, Pricing or Finance, ideally supporting transaction-heavy sales activity

  • Extensive experience with managing the RFP/RFI lifecycle

  • Experience with applications such as, Qvidian, DocuSign and other contract management platforms as well as Microsoft Office Suite and strong knowledge of systems for optimization of workflow

Travel requirements:

  • Approximately 5% of the time - Domestic

  • Prefer candidate to sit local in one of our nationwide offices (willing to consider remote/work from home for qualified candidate)

  • This position is eligible for remote work subject to Wolters Kluwer's Flex Work policy and the business requirements of the team

Preferred Experience Knowledge, Skills, Abilities or Certifications (includes minimum):

  • Strong Project Management skills and analytical abilities

  • Industry specific experience within the legal services market

  • Contract Paralegal, Legal Secretary, or Legal Assistant experience

  • Proven ability to work well within a highly matrixed organization

  • Experience working in a subscription sale environment, for example the software industry.

  • Excellent verbal and written communication skills, team oriented, collaborative work style

Essential Duties and responsibilities:

  • In understanding the concept of a Senior Contracts Specialist, you will manage and facilitate the sales contract process by working directly with the sales team, sales leadership, legal, finance and other related parties.

  • Accurately and efficiently track and report on all open, stalled or otherwise 'in process' contracts, including reason, next steps etc. using as the tool for managing the process and tracking.

  • Maintaining and prioritizing the queue of Open contracts.

  • Ensure that contracts/customer agreements move efficiently and quickly through the process to completion

  • Maintaining Sales contract database/SharePoint with all current contracts

  • Ensure that all agreements have the necessary sales, business and legal approvals required

  • Execute on all RFP/Surveys etc. by developing close relationships with sales, product, marketing, legal and finance.

  • Create or procure and maintain a content management system working directly with SME's to ensure data is updated on a consistent basis.

  • Consistently seek enhanced efficiency and effectiveness of the end-to-end contracts and RFP management process leveraging best practices

  • Work with marketing, subject matter experts and training to ensure response information is consistent with each group's content/message (including collateral material)

  • Be a highly collaborative and supportive partner to the CT sales team

Job Summary (Primary function) The Sr. Contract Specialist provides contract review and operational contract management primarily to support the contracting needs of the commercial and science-focused units of Incytes North American operations. The incumbent consults and collaborates with attorneys and business contract owners, and is responsible for timely preparation, drafting, negotiation and administration of contracts. Incyte has a growing portfolio of drugs approved to treat a wide range of hematologic and solid tumor malignancies, as well as dermatological conditions. In light of this evolving portfolio, the responsibilities of this Specialist may change over time. Essential Functions of the Job (Key responsibilities) * Contract Reviews * Review and negotiate confidentiality agreements (CDAs), consulting agreements, Master Services Agreements, Statements of Work, and other contract documents, as assigned, using contracting guidelines approved by the Legal function. * Identify and escalate contract terms to the contract owners, attorneys, and other appropriate stakeholders. * Contract Administration / Operational Management * Identify and effectively communicate priorities and urgencies to applicable stakeholders. * Track and drive contracts to resolution, including identifying remaining contracting issues, identifying appropriate stakeholders to reach decisions, and convening meetings to drive efficient decision-making. * Serve as an expert in Incytes contract management system and processes. Work closely within Legal and contract management system team to ensure contracts are properly managed in system and develop enhancements, improvements and updates. * Track negotiated terms across agreements and identify potential updates to contracting guidelines. Propose updated contracting guidelines, as needed. * Partner with Legal and other colleagues, including but not limited to, US Medical Affairs, Product Strategy, Commercial Operations, Market Access, Finance, and Procurement, to address and solve day-to-day contracting issues and proactively troubleshoot and implement short-term and long-term contract improvements and efficiencies. * Generate reports and similar analyses to communicate contracting trends, workload volumes, and similar information to inform long-term contracting enhancements. * Develop training materials and similar communications to drive efficiencies in the contracting process. * Liaison Responsibilities * Serve as liaison with counsel and contracting staff at key vendors and other third parties. Effectively interact with people at all levels within Incyte and third parties to negotiate contracts to completion and address other contracting issues. * Work with Incyte Compliance, Information Technology, Procurement, and other stakeholders (Privacy) to facilitate privacy, cybersecurity, and anti-corruption assessments for the benefit of US operations. Qualifications (Minimal acceptable level of education, work experience, and competency) * Undergraduate degree, paralegal certificate preferred. * Minimum 7-9 years of contracting experience. * Experience negotiating agreements, particularly Master Services Agreements and related Statements of Work. * Well-developed understanding of business objectives and legal impact of routine and complex contract provisions. * Experience working with contract management systems platforms preferred, but not required. * Previous experience working with academic centers, medical institutions, and/or Health Plans, GPOs, Specialty Pharmacies, Physicians and Wholesalers, preferred. * Strong written, oral communication, interpersonal, and organization skills. * Ability to work independently and in a team environment. * Ability to effectively prioritize workload and communicate priorities. * Interacts effectively and productively with colleagues and business partners. * Motivated to work in a fast-paced environment. * Ability to work and adapt in a complex, dynamic organization handling multi-faceted projects with tight timelines. * Appetite for learning new areas as our business evolves.
