About the Role

As the Senior Contracts Administrator you will: (i) partner with the General Counsel and internal clients from various departments to review, negotiate, and draft contracts covering a wide range of business relationships, including the Company's key relationships with manufacturers, suppliers, collaborators, researchers, and customers, (ii) support day-to-day equity plan administration, including processing stock option grants and maintaining the equity database, and (iii) provide support to the Company's small, but productive, Legal Department.

You will make an impact by:

  • Drafting, negotiating, reviewing, maintaining, and interpreting written contracts covering a range of the Company's activities around the world (NDAs, MSAs, research agreements, sales agreements, etc.).

  • Managing the Company's contract life cycle management (CLM) system to efficiently track the status of both in-process and active contracts, maintain the Company's archive of legal contracts, and translate contractual data into meaningful information for each functional area.

  • Driving and facilitating the contract approval process.

  • Supporting the development of a wide variety of policies, templates, forms, and agreements, including non-disclosure agreements, consulting agreements, clinical trial agreements, vendor agreements, and work orders, as the Company develops new products and enters new markets.

  • Responding to inquiries regarding contract obligations and revisions, and identify and mitigate legal and business risks.

  • Collaborating with the General Counsel, provide internal training to coworkers, if and when needed, on a range of topics.

  • Providing legal and administrative support with respect to external legal matters, disputes and inquiries.

  • Functioning as a program manager to track progress of multiple projects, working with teams to communicate deadlines, unblock issues, and liaise with outside counsel and other advisors, as necessary.

  • Effectively collaborate with cross-functional teams (Engineering, Finance, Clinical, HR, etc.) and other legal colleagues to solve problems, build partnerships, and accomplish critical business objectives.

  • Managing day-to-day administration of the Company's equity incentive program on a third-party platform.

  • Ensuring all equity plan transactions, including stock option grants, exercises, vesting schedule changes, and terminations, are processed correctly and in a timely manner.

  • Performing some legal research and report on relevant statutes, court decisions, codes, etc.

  • Assisting attorneys with transaction closings, data rooms and maintenance of corporate records.

  • Providing administrative support for in-house attorneys (filing, calendaring, etc.), as needed.

  • Representing the Legal Department internally to clients, across all levels of management.

  • Assisting with the production and dissemination of materials for board and shareholder meetings, as needed.

  • Supporting the Legal Department in all corporate governance matters and management of entities globally.

To be successful, you will bring:

  • Bachelor's degree or equivalent experience.

  • 5+ years of contract management level expertise, preferably in clinical research, life science or medical device settings, or equivalent experience.

  • Understanding of legal language and principles, research methods, contracts, and in-house legal operations.

  • Familiarity with record retention practices and CLM systems like LinkSquares.

  • Experience working with publicly traded companies and different types of equity plans preferred.

  • Demonstrated commitment to high standards and professionalism at all times.

  • Excellent oral and written communication skills and critical thinking skills.

  • Ability to work conscientiously and with minimal direction, using good judgment, taking initiative to accomplish short- and long-range projects, and recommend actions with minimal direction.

  • Excellent interpersonal, time management, and customer service skills.

  • Curious minded, for example someone who seeks out new knowledge and specialist skills outside of her, his or their own area of expertise.

  • Efficient, detail-oriented, organized, resourceful, as well as data and results driven.

  • Proficient knowledge and skill in Microsoft Office Suite applications (Word, Excel, PowerPoint, etc.).

  • Proactive, motivated, nimble, and commercially minded, for example someone with a strong work ethic and the ability to manage competing priorities, especially someone who has thrived in a fast-paced, lean, entrepreneurial environment.

  • Able to handle highly confidential information with discretion.

  • Tactful, principled, and able to foster pleasant and productive working relationships with all internal and external stakeholders (e.g., to approach work with modesty, a sense of humor and positive attitude).

  • Able to lift 15-20 pounds.

Pay Range:

Exact compensation is determined based on a wide range of factors including job-related skills, experience, education, and training. It is not typical for an individual to be hired at or near the top of the range for their role. This pay range is specific to Northern California location. Base salary range: $115K - $145K
