To assist Twist, a recently publicly traded company, in its growth and expansion, we are seeking a Securities Counsel. Reporting to the Corporate Counsel, this role will be instrumental in advising Twist on U.S. corporate and securities matters, including public company disclosure requirements, corporate governance matters and transactional work.

What You'll Be Doing

  • Prepare and review SEC filings, including Form 8-Ks and the annual meeting proxy statement and related documents, Section 16 filings, and Forms 10-Q and 10-K

  • Assist in the coordination of board and committee meetings and provide legal support, including the drafting, preparation and review of Board meeting materials

  • Assist in corporate governance matters

  • Support Investor Relations and Public Relations teams, including reviewing press releases, earnings releases, investor presentations and other materials

  • Support M&A activities

  • Assist in corporate real estate matters, including lease reviews

What You'll Bring to the Team

  • 3+ years of relevant experience at a major law firm, advising public companies on securities law matters

  • Proficient knowledge of SEC and Nasdaq rules

  • Registered to practice in California or be eligible for Registered In-House Counsel (RIHC) status in California

Preferred Qualifications

  • Experience advising technology and/or life sciences companies

As a Senior Patent Counsel, you will: * Provide a full range of patent support functions, including patent preparation and prosecution freedom-to-operate studies (e.g., infringement and validity analysis), and particularly, client counseling. * Draft and negotiate license and research collaboration agreements – strong emphasis. * Provide due diligence support for business development activities – strong emphasis. * Support US and OUS litigation. * Manage outside counsel. * Make regular presentations and interact with the business about patents, other intellectual property, contracts, and due diligence matters. * Provide training to business personnel on patents, intellectual property, and contractual matters. Qualifications * A Bachelor's degree is required. An undergraduate or advanced degree in Applied Mathematics, Computer Science or Computer Engineering, Electrical Engineering, or Systems Engineering is preferred. * A Juris Doctorate from an accredited law school and admission to practice before the USPTO and licensed to practice in at least one state are required. * A minimum of six (6) years of law firm or corporate law department experience is required. * Patent preparation and prosecution experience is preferred. * Experience in the rendering of patentability and non-infringement opinions is required. * Experience in due diligence activities, license/agreement drafting and negotiation is required. * A demonstrated competency in the computer or electromechanical arts and combination technology systems (e.g., systems including software, chemistry, biologic or materials component) is required. * Experience dealing with big data and data analytics is preferred. * The ability to articulate and positively engage clients and internal partners is required. * Must be capable of giving well organized, thoughtful presentations to upper management. * Travel up to 20% both domestically and internationally is required. * This position will be based in South San Francisco or Milpitas, CA.
