Corporate and Regulatory Paralegal

We are seeking a corporate and regulatory paralegal with 3 -- 6 years of transaction and regulatory experience. Responsibilities include a wide range of projects including UCC financing statements, UCC searches, licensing, state and federal documentation and regulatory monitoring.

Essential Functions:

  • 3-6 years of corporate and regulatory paralegal experience

  • Experience with all matter of corporate documents

  • Forming corporate entities, ordering and reviewing UCC searches and other transactional due diligence

  • Prepare and file state regulatory and government agency-required documents and reports, including licensing applications and related filings for motor vehicle dealer operations

  • Conduct and document consistent and continuous follow-up with regulatory/government agencies on licensing and regulatory matters

  • Monitors status of submitted licenses to ensure licenses are timely received and processed

  • Track and record all work activity

  • Provide consistent and continuous feedback on status of licensing and regulatory matters to supervisors and operations team

  • Promote positive relations and communications with coworkers, state/government agencies, and operations team


  • Bachelor's degree and/or paralegal training or certification

  • Experience with filing licensing applications with various State and local agencies a plus

  • Self-starter

  • Ability to multi-task and work in a team environment

  • Ability to work with minimal supervision

  • Ability to clearly communicate both verbally and in writing

  • Strong organizational and follow-up abilities

  • Detail oriented

  • PC experience (preferred - in Microsoft Word and Excel knowledge a plus)

  • Excellent phone skills

Responsibilities We currently have a great opportunity available for a Legal Manager and Paralegal. A seasoned and knowledgeable legal and healthcare business manager with experience across multiple channels of the healthcare industry globally. Manages Legal support process including support tracking and execution, metrics and reporting for the U.S., LATAM and Canada to drive company efficiency with executing agreements, maintaining appropriate governance, and securing that documentation. Support internal business clients with leading matter intake, review of matter status, documentation of matter completion, and document retention. Coordinate legal support need from initial request to completion. Lead matter intake process. Initial assessment and triage is a high priority that helps the company achieve Sysmex revenue goals and objectives with appropriate legal support. Participate and lead business-process improvement efforts for the legal department, supporting business customers with additional guidance and tools for mitigating legal risk while achieving important objectives. Under supervision of an attorney, prepare business and legal documents to support ongoing daily and special business processes, including sale and service of products, purchase of supplies and equipment, engagement of professional services, privacy-related issues, and clinical studies. Manage Legal Tracker matter management workflow and support legal department operations. Essential Duties and Responsibilities: Draft, edit and assist with execution of commercial agreements to comply with SAI business objectives. Prepare annotated template agreements for use by SAI associates in business roles. Implement and coordinate execution of new legal processes, policies, procedures, and training for the U.S., LATAM and Canada legal customers. Assist business and scientific associates in negotiation of legal terms and conditions of contracts. Maintain legal document management system, legal matter management system, and GRC/Legal SharePoint site. Track, review and analyze data required to manage legal department efficiency. Provide ongoing advice and training on legal subject matters. Review NDA history, determine potential additional needs, and assist business customers with drafting appropriate NDAs for business review to mitigate risk when sharing Sysmex information during coordination and negotiation of significant partnerships, opportunities, projects and agreements. Review BAA drafts, determine BAA history and potential additional needs, and assist business customers with drafting appropriate BAAs for business review to mitigate risk while supporting Sysmex commitment to protecting personal private information and HIPAA requirements. Coordinate ongoing legal activities and projects including significant oversight of the implementation, application, administration and use of the legal matter management and electronic billing system. Independently providing and suggesting options for potential legal support for customer needs by prioritizing and assessing capacity along with urgency of the need to determine appropriate resources. Monitor monthly outside counsel billing payments through file submissions and facilitate review and payment of invoices. Continually evaluate the current state of legal support, matter and billing management, considering department objectives and goals, adapting legal technology and resources to Sysmex needs to support growth and budgeting objectives. Other projects as assigned. Percentage of Travel: Less than 10% Physical Demands: Light physical effort. Routine handling of objects up to 20 pounds; prolonged (at least 50% of time) sitting, standing, keyboard or CRT work. May require periods of moderate discomfort due to noise, dust, lighting and/or other conditions. Qualifications * Bachelor's degree and over 10 years required experience in supporting commercial contracts. Additional Certifications preferred.
