Process Manager, Associate - Corporate Governance

The Role

The Corporate Governance Office of Capital One is seeking a process specialist or paralegal to support the company's subsidiary management function. The Process Manager will drive the following activities within the Corporate Governance Office:

Responsibilities

  • Update and maintain subsidiary database, including management of user access

  • Execute, monitor and report various secretary of state filings, including those related to annual reports, foreign qualifications, director and officer appointments, and legal entity formations, dissolutions and reorganizations

  • Maintain corporate records, minute books and organizational documents

  • Support legal counsel in providing guidance on delegations of authority and signing authority matters

  • Collaborate with teammates to research, identify and implement solutions to resolve subsidiary matters

  • Plan and conduct stakeholder meetings regarding organizational structure and subsidiary changes

  • Manage and interact daily with vendor providing registered agent services

  • Train and educate on various subsidiary management topics

The Person

  • The successful candidate will have a proven ability to operate effectively in a complex and evolving environment.

  • S/he will have a demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels.

  • Possess the ability to work in a fast-paced environment with minimal supervision.

  • Possess strong organizational skills with impeccable attention to detail.

  • Possess excellent analytical, oral and written communication skills.

  • Possess the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries.

Basic Qualifications

  • High school diploma or military

  • At least 2 years of experience using Word, Excel, PowerPoint and Outlook.

Preferred Qualifications

  • Bachelor's degree or paralegal certificate.

  • 2+ years of experience in process management, project management, risk management or compliance.

  • Ability to build collegial and effective relationships with business leaders, attorneys, paralegals, and project managers at all levels of the company.

  • Ability to prioritize and manage a significant volume of work on a broad array of topics with multiple and simultaneous deadlines, and a strong attention to detail.

  • Strong communication skills with the ability to influence others.

Principal Legal Specialist, Corporate Governance The Role The Corporate Governance Office of Capital One is seeking an experienced professional to support the Board of Directors and executive management governance forums. The Principal Legal Specialist will drive the following activities within the Corporate Governance Office: Responsibilities * Prepare for and distribute meeting materials to members of the Board of Directors and senior management * Update and maintain the Board extranet portal, including managing user access and permissions and providing user training to senior management, federal regulators, consultants, and other key constituencies * Oversee and manage relationship with two governance-related third-party vendors, including contractual obligations as well as resolving risk matters * Manage official, confidential records for the Board of Directors, senior management forums, and subsidiaries * Advise executives and other document producers regarding the content of Board reporting * Develop and maintain processes to track and monitor meeting attendance, participation in educational programs, charter compliance, and other Board-related processes * Respond to due diligence, internal audit, regulatory examinations, and general historical document requests * Attend certain governance forums, draft meeting minutes regarding actions taken and discussions held at such meetings, and advise on corporate governance matters * Enhance and maintain a corporate-wide intranet site regarding best practices in corporate governance * Develop, maintain and document key team processes, resolve any process breakdowns, and identify and develop enhancements, in coordination with applicable team members and other internal stakeholders The Person * The successful candidate will have a proven ability to operate effectively in a complex and evolving environment * S/he will have a demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels * Possess the ability to work in a fast-paced environment with minimal supervision * Possess strong organizational skills with impeccable attention to detail * Possess excellent analytical, oral and written communication skills * Possess the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries Basic Qualifications * Bachelor's degree or military experience * At least 3 years of project management experience OR at least 3 years of paralegal experience * At least 3 years of experience using Word, Excel, PowerPoint and Outlook Preferred Qualifications * Paralegal certificate * 5 years of project management experience OR 5 years of paralegal experience * Ability to build collegial and effective relationships with business leaders and professionals at all levels of the company * Ability to prioritize and manage a significant volume of work on a broad array of topics with multiple and simultaneous deadlines * Strong communication skills with the ability to influence others * Experience capturing and summarizing meeting minutes and/or drafting legal documents At this time, Capital One will not sponsor a new applicant for employment authorization for this position.
