Process Manager, Associate - Corporate Governance
The Corporate Governance Office of Capital One is seeking a process specialist or paralegal to support the company's subsidiary management function. The Process Manager will drive the following activities within the Corporate Governance Office:
Update and maintain subsidiary database, including management of user access
Execute, monitor and report various secretary of state filings, including those related to annual reports, foreign qualifications, director and officer appointments, and legal entity formations, dissolutions and reorganizations
Maintain corporate records, minute books and organizational documents
Support legal counsel in providing guidance on delegations of authority and signing authority matters
Collaborate with teammates to research, identify and implement solutions to resolve subsidiary matters
Plan and conduct stakeholder meetings regarding organizational structure and subsidiary changes
Manage and interact daily with vendor providing registered agent services
Train and educate on various subsidiary management topics
The successful candidate will have a proven ability to operate effectively in a complex and evolving environment.

Possess the ability to work in a fast-paced environment with minimal supervision.
Possess strong organizational skills with impeccable attention to detail.

High school diploma or military
At least 2 years of experience using Word, Excel, PowerPoint and Outlook.
Bachelor's degree or paralegal certificate.
2+ years of experience in process management, project management, risk management or compliance.
Ability to build collegial and effective relationships with business leaders, attorneys, paralegals, and project managers at all levels of the company.
Ability to prioritize and manage a significant volume of work on a broad array of topics with multiple and simultaneous deadlines, and a strong attention to detail.
Strong communication skills with the ability to influence others.
