What is Franklin Templeton's Legal Department responsible for?

The Legal team provides practical legal advice and service to the broader organization by reviewing and analyzing the laws and regulations of the legal jurisdictions in which Franklin Templeton operates. Our in-house corporate attorneys interpret these laws and regulations and advise the business on actions required to comply with legal and regulatory obligations. They also guide the business on appropriate courses of action to minimize risk from financial or reputational loss.

We're looking for a Private Funds Attorney to be based in San Mateo, CA, Stamford, CT, New York, NY, Washington, D.C. or Fort Lauderdale, FL.

What is the Private Funds Attorney responsible for?

The Private Funds Attorney will be a part of the U.S. legal team supporting Franklin Templeton's private funds and alternatives business, which currently includes hedge funds, venture capital funds, private equity funds, credit funds and digital asset/cryptocurrency funds. The successful candidate will be providing legal support to various matters relating to private alternative investment funds, with a focus on fund structuring, formation and maintenance, marketing and distribution, and corporate governance.

What are the ongoing responsibilities of the Private Funds Attorney?

  • Provide advice on the formation, structuring and marketing/distribution of open-end and closed-end funds and special purpose vehicles across various jurisdictions

  • Prepare, review and negotiate fund offering documents and side letters as well as agreements with service providers, including administrators, custodians and placement agents

  • Partner with internal stakeholders, including investment, finance and administration, tax, compliance and other teams, to help develop processes and provide advice relating to all aspects of private funds

  • Oversee the corporate governance of private funds, including managing Board meetings

  • Analyze issues and provide advice under a variety of regulations, including SEC, FINRA and ERISA rules

  • Manage external U.S. and non-U.S. counsel on a cost-effective basis

What ideal qualifications, skills & experience would help someone to be successful?

  • J.D. from a top law school and licensed to practice law in the U.S.

  • Three to eight years of private fund formation experience in a national law firm or financial institution, although candidates with a similar level of experience in other investment management areas will also be considered

  • Knowledge of laws and regulations under the Investment Company Act of 1940, Investment Advisers Act of 1940 and other regulatory regimes impacting privately offered funds

  • Excellent written and verbal communication skills and high degree of attention to detail

  • Demonstrated initiative and self-direction

  • Strong organizational skills and ability to balance and prioritize multiple matters involving different groups within a global, fast-paced environment
