The Principal Paralegal role is for someone who is analytical, has strong attention to detail, highly organized, collaborative and enjoys leading process improvement initiatives. This person will be part of a team drafting and negotiating information technology contracts, including software licensing, cloud computing, software as a service and hardware purchases. This person will develop solutions to complex problems, using ingenuity and innovation. The work of this person will be performed without appreciable direction and requires independent thinking and judgment. The role requires a high level of responsiveness to business stakeholders in a large, dynamic and fast-paced environment.
A Day in the Life
Responsibilities may include the following and other duties may be assigned.
Drafts and negotiates information technology agreements, including Master Software and License Agreements, Cloud or Hosted Agreements, Order Forms, amendments, statement of work and hardware agreement
Drafts and negotiates privacy and security agreements, coordinating closely with security office and local privacy experts on country rules and regulations
Ensure agreements and contract terms are consistent with Medtronic policies and with legal and regulatory advice
Drafts template agreements for the US contracting team
Processes agreements through the Ariba system
Communicates with internal business stakeholders on agreement status, and works to resolve contractual issues prior to execution
Lead and contribute to the evolution and improvement of processes and systems
Work with cross-functional teams to continually assess and update systems/processes/reports where required
Ability to initiate and implement continuous improvement ideas
Provides regular training on the agreement request process to internal stakeholders and requestors
Must Have: Minimum Requirements
Years of Experience:
Specialized Knowledge/Skills Required:
Experience working with moderate-to-complex agreements, solid understanding of general contract terms and conditions
Experience drafting and negotiating contracts relating to information technology, cloud and hosted solutions
Nice to Have
Experience with data privacy and security
Excellent interpersonal/communication skills (written and verbal)
Integrity and strong ethical character
Tactful, exercises independent judgment and discretion professional presentation
Prioritizes workload and manages internal and external client expectations to execute on critical priorities
