Job Summary:

The Corporate Paralegal is a team player who enjoys working with attorneys! This position is a key contributor who will encounter a wide array of interesting legal matters, working cross-functionally with attorneys responsible for corporate matters, litigation, contracts, franchise matters and other areas.

Responsibilities:

  • Manages corporate entity and subsidiary matters, including formation, dissolution, conversion, drafting of governance documents, and maintenance of minute books.
  • Prepares and files annual reports, required filings and foreign qualifications for the Company and subsidiaries.
  • Assists with preparation and organization of Board agendas and materials.
  • Drafts and maintains legal documentation in support of the Company's business operations, including incumbency certificates, officer certificates and delegations of authority.
  • Calendars litigation deadlines for in-house legal team.
  • Leads the litigation hold process, including drafting and managing litigation holds.
  • Supports in-house attorneys with due diligence requests and discovery processes, including document collection and e-discovery; organizes and drafts responses to critical requests for information.
  • Administers legal files.
  • Drafts routine contracts; assists with maintenance of contract template library.
  • Maintains and manages the contract lifecycle, ensuring compliance with company policies and deadlines.
  • Coordinate contract execution, tracking approvals, corporate compliance and regulatory requirements.
  • Maintain and update the contract management system, ensuring proper organization and accessibility.
  • Assists in developing and updating contract templates and playbooks to endure efficiency and compliance.
  • Organizes and calendars meetings and phone calls
  • Supports attorneys and clients on assigned projects and cases.
  • Responds to the unexpected in a fast-moving company.

  • Coordinates cross-functional legal input by working closely with other attorneys in the legal department.
  • Performs other duties as assigned by the Chief Legal Officer or other department attorneys.

Pay Range: $40 - $50 Hourly

Qualifications

Qualifications:

  • Qualification as paralegal in California.
  • Minimum of four (4) years' relevant experience.
  • Proof of eligibility to work in the United States.
  • Ability to demonstrate and adhere to highest standards of ethics and integrity
  • Excellent research and writing skills; ability to prepare clear, concise and complete documents, reports, correspondence and other communications materials; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations.
