Manages all entity matters for all international and US entities.
Ensures all international and US information is in compliance with Welltower's policies and procedures.
Facilitates responses regarding any inquiries for entity information for all international and US matters.
Supervises the annual authorizing resolutions for all US entities and ensures the same is accomplished with international entities.
Works with Real Estate Specialists on all closed transactions ensuring proper information is communicated.
Works with Real Estate Specialists, Welltower's Counsel (in-house and outside), tax, and accounting teams to determine the type of entities to be formed.
Understand structure of complex legal transactions and recognize/address issues related to closing requiring knowledge of real estate principles and practices, contracts, and general accounting, tax, and finance principles.
Manage due diligence, third-party reports, and data rooms.
Participate in conference calls, review documents, and provide support to working group.
Prepare or assist with preparation of closing statements and coordinate funding.
Prepare or assist with preparation of financing and debt assumption packages.
Ensure adherence to and application of organizational policies and procedures and make certain company objectives and timelines are met. Facilitate flow of information between company departments.
Process draw requests for development projects.
Understand the development/construction process, including construction contracts, contractor affidavits, mechanics liens, waivers, bonding, insurance, and legal issues.
Review draw requests and documentation, track and reconcile project budgets, and coordinate funding. Resolve mechanics liens and coordinate release of retainer.
Process loan disbursements, prepare payoff statements, and coordinate payoff closings.
Review and process legal and other third-party vendor invoices and manage relationships.
Handle routine legal issues such as easements, condemnation proceedings, and contracts.
Prepare or review and coordinate approval and execution of waiver letters, confidentiality agreements, and miscellaneous correspondence, reports, and documents.
Provides support to legal department as needed.
Performs all other duties as assigned.
Bachelor's degree in Paralegal Studies or related field is required. 0-2 years experience in legal transactions. Experience with entity creation, acquisitions, legal transactions and real estate closings is preferred.
