Job Description Job Description A law firm is seeking a skilled Paralegal to support attorneys in business and transactional matters. Essential Duties and Responsibilities:
Prepare and organize closing checklists and documents for financing, real estate, and business transactions. Facilitate transaction closings and create/distribute closing binders in both conventional and electronic formats. Draft documents related to commercial financing transactions, including mortgages, closing certificates, mortgage tax affidavits, mortgage releases, UCC financing statements and amendments.
Prepare business formation and governance documents, such as articles of incorporation, shareholder and director resolutions, and deeds. Review title commitments, surveys, and other real estate documents, coordinating with title companies and surveyors as needed. Research and interact with various local, state, and federal government agencies to obtain and file necessary documents.
Conduct due diligence searches and organize documents for attorney review. Required Knowledge and Skills: Understanding of the Uniform Commercial Code - Article 9 (Secured Transactions), including UCC financing statement components and filing requirements.
Familiarity with documents required for commercial loans, including collateral documentation and public record filing. Knowledge of business entity types and governing documents, with the ability to assess authority to bind a company. Basic familiarity with oil and gas terminology, including leasehold records.
Qualifications: Bachelor's degree, or Associate's degree with at least two years of experience, or High School Diploma with at least five years of experience. Proficiency in Microsoft Word, Excel, PowerPoint, and Adobe Acrobat. Paralegal certification is preferred.
