Summary:

The Paralegal will provide legal and executive administrative support to the company's legal department. The Paralegal will assist with day-to-day activities as needed, including board and committee support, corporate entity maintenance, contract management, and litigation case management. The Paralegal will provide administrative and substantive support with respect to litigation, implement and maintain databases and document repositories for compliance and governance-related documentation and information, and assist in regular reporting of relevant metrics.

Essential Responsibilities:

  • Independently manage the administration of the company's contract management system, including handling of corporate agreements, non-discloser agreements (NDA), and supply agreements

  • Coordinate Board and Committee meetings, plan, prepare, and distribute meeting materials, including agendas, corporate resolutions, and meeting minutes

  • Assist with drafting Board and Committee minutes, resolutions, affidavits and other legal documents.

  • Manage and maintain legal entities and registrations and perform corporate formalities for PSI's subsidiaries

  • Assists with SEC and related public company filings, as needed

  • Independently manages the administration of litigation and employment matters, including intake of new matters, outside counsel engagement letters, docketing and calendars, maintenance of litigation case files, and preparation and circulation of legal hold retention letters

  • Preparation and coordination of E-discovery requests, while working closely with Information Technology Department or ESI vendors for submission to outside counsel

  • Coordinate document collection for discovery purposes and in response to third-party subpoenas

  • Provide support for risk management function as needed

  • Other duties and special projects as assigned

Qualifications

Requirements:

  • Paralegal Certificate or Bachelors degree preferred; may substitute degree for directly applicable work experience which built competencies and subject matter expertise

  • Experience with legal contracts in a corporate law department preferred

  • Experience with corporate Board and committee governance practices

  • Ability to work independently with minimal day-to-day direction over daily tasks

  • Ability to responsibly handle highly confidential and market-sensitive information and use sound judgment for disclosure of the same

  • Careful attention to detail and demonstrated ability to review and proofread work for accuracy

  • Demonstrates the ability to prioritize and multi-task (juggle multiple projects)

  • Skilled in using Microsoft Office, Excel, Outlook, Word, PowerPoint, and Westlaw

  • Assistance with accounts payable for legal invoice payment processing

  • Other duties as assigned by management

Preferred Qualifications:

  • Knowledge of corporate compliance and business entity filing requirements

  • Litigation support and case management

  • Experience supporting executive-level officers
