What you'll do:

The Optimizely Legal team is small, but mighty, and we do lots of great work to support the Optimizely business. This includes supporting the sales team to close commercial deals with our customers, supporting our marketing team in their efforts to raise our brand profile and generate pipeline, supporting our product and security teams in developing and maintaining our platform, and supporting our procurement contracting process across the business.

To help us continue to provide excellent legal support within Optimizely, we are looking for an experienced paralegal based in our San Francisco office. The tasks for our paralegal to take on will include the following:

Job Responsibilities:

  • internal document management and organisation

  • assist with corporate governance and entity management

  • review NDAs and some vendor agreements

  • respond to Data Processing Agreement requests

  • maintain our internal legal knowledge base

  • acknowledge customer cancellation requests and preparing cancellation letters

  • draft amendments to Order Forms and Statements of Work

  • organising JIRA tickets and requests

  • work on internal legal team projects (such as preparing templates folder structure & filing protocol; creating & updating templates to streamline routine legal processes)

VIEW JOBS 1/12/2019 12:00:00 AM 2019-04-12T00:00 Summary: The Contracts Paralegal is a key contributor to the company's contract function, including ensuring that contracts are completed in a timely manner in accordance with company policies, internal client requirements and applicable regulations. Responsibilities: * Creates, reviews, and revises contracts, including but not limited to work orders, statements of work, amendments, master services agreements, consulting agreements, confidentiality agreements and clinical trial agreements * Negotiates contracts, including coordinating with internal clients and other functional areas to ensure timely completion of agreements and appropriate contractual terms * Reviews contract to ensure that they comply with applicable laws and company policies * Appropriately escalates issues to attorneys within the contracts group * Assists clients in interpreting contract terms and conditions, including effectively conveying to the clients the meaning and implications of particular contract terms * Provides contract-related issue resolution, both internally and externally * Monitors and completes contract close-out, extension or renewal, as appropriate * Experience working with Contract Management Systems or CLM software * Communicates contract-related information to stakeholders * In collaboration with the Contract Administrator, tracks, and serves as point of contact, related to pending contract actions and requests, and responds to inquiries regarding contract terms * In collaboration with the Contract Administrator, maintains and archives company contracts and legal files and oversees tracking of contract expiration dates and additional key contractual terms * Other responsibilities as assigned Qualifications: * 5 years of legal support experience, including some contract drafting experience, is required, preferably in a public company regulated industry such as the pharmaceutical/biotechnology industry * Experience supporting contractual needs of clinical and medical affairs departments in the pharmaceutical/biotechnology industry is strongly preferred * Experience interpreting contract requests, drafting contracts for lawyer review, and managing contract files is required * Experience with Apttus or other Contract Lifecycle Management (CLM) Systems * Excellent writing skills in order to draft contracts and communicate effectively * Must be an expert user of Microsoft Word and Excel, with proficiency in Microsoft Access, ChangePro and Adobe Acrobat a strong plus * Demonstrated ability to be flexible and adaptable and work in a fast-paced environment is critical.
