PrimeSource Building Products, Inc., one of the nation's largest wholesale distributors of building supply products, is seeking a reliable, hard working Paralegal in our corporate office located in Irving, Texas.

Responsibilities

Position Summary:

The paralegal position supports the General Counsel and Legal Department in the service and support of the company's general legal needs and specific internal clients, manages and administers documents and contracts, manages and administers intellectual property prosecution and enforcement, manages outside law firm activity under the direction of the General Counsel or other designee, researches law, investigates facts, and prepares documents, among other things.

Essential Functions Statement(s): Performs administrative and clerical duties such as scheduling appointments, providing information to callers, taking dictation, composing and typing routine correspondence; and reading, routing, filing and addressing incoming mail. Acts as legal department liaison with business functions, departments, distribution centers, and other internal clients.

Prepares and revises legal documents such as contracts, terms, policies, guidelines and forms for review, approval, and use by General Counsel and other legal and business personnel. Investigates facts, researches law and assists and advises human resources and other departments with investigations and inquiries. Manages company records and contracts database and warehouse.

Assists with due diligence activities. Assists with compliance and governance activities. Assists with and coordinates patent and trademark prosecution and enforcement activities.

Files correspondence and legal documents in office filing system. Ensures proper indexing and filing of original legal documents and coordinates company-wide contract management.

Qualifications

Education and/or Experience:

  • Bachelor's Degree or equivalent and/or Paralegal Certification preferred.

  • Minimum of five years of law firm or in-house corporate legal experience preferred.

  • Prior contract review experience preferred.

  • Excellent oral and written communication skills with acute attention to detail.

  • Diplomacy, flexibility and the ability to successfully interact with external and internal customers at all levels.

Certifications & Licenses:

Paralegal certification

Other Requirements:

  • Demonstrated ability in software including, but not limited to Word, Excel, and other Microsoft Office products.

  • Experience with legal research software a plus.

  • Experience with matter and document management solutions preferred.

  • Ability to write reports, business correspondence, and procedure manuals. Requires knowledge and understanding of basic legal terminology.

    Requires ability to concentrate for lengthy periods of time while maintaining a focus on detail. Requires ability to handle multiple tasks and routine responsibilities and assess priorities on a daily basis and a willingness to make judgment decisions. Requires ability to balance the use of initiative with level of knowledge, a willingness to follow instructions and the responsibility of bringing all problems, concerns or discrepancies to the attention of the General Counsel. Requires the ability to effectively communicate with a varied audience, including all levels of company management and internal clients, vendors, customers and other interested parties.

This position requires the use of judgment and initiative in arranging job details in order to achieve objectives Duties and Responsibilities: Preparing and filing of: * •Board and committee meeting minutes and consents for corporate and subsidiary actions, including election of directors and officers. * •Various statutory filings, including annual and other reports, formations, mergers, withdrawals, dissolutions, qualifications, and tax filings. * •Verifying and processing invoices for subsidiary operations (e.g., annual representation charges and routine statutory filings); serving as liaison to outside vendors on assigned projects and ordering documents from secretary of state offices and/or other agencies. * •Conducting historical research using minute books and other corporate and subsidiary files and materials. * •Preparing certificates, exhibits, schedules and other documentation as required for closing of financing and other transactions (e.g., mergers, acquisitions, or divestment). * •Organize and maintain original and virtual minute books through internet based entity management database. Ensures the integrity of all data submitted into the database including verifying, updating, editing and auditing corporate entity information. * •Prepares, maintains, and distributes vital corporate organizational reports. * •Assist with contract negotiation, drafting and redlining including preparation of non-disclosure agreements. * •Create, maintain and administer contract database. * •Work closely with subsidiaries and affiliates relating to corporate, insurance and export compliance issues with ability to troubleshoot issues in a timely manner. * •Track and record time in web-based time tracking and billing software. * •Other tasks as required.
