Location: McLean, VA

Duration: 5 months with possible contract to hire

Description:

Role/ Skills Info:

  • Legal background (corporate is preferred)

  • But doesn't have to be in a law firm

  • Will be filing and working with subsidiaries and general corporate law

  • Working with secretary of state offices

  • Drafting written consents (should have excellent verbal and written communciation skills)

Soft Skills:

  • MS Office experience

  • Personable

  • Reliable to the hours that are set

  • Detail-oriented

  • Compliance-minded

  • The contractor will need to be in McLean and the position involves subsidiary management and general corporate law. Activities will include filing annual reports with Secretaries of State offices, drafting secretary certificates and incumbency certificates, drafting written consents to appoint directors and officers, responding to general inquiries regarding our subsidiary structure, keying information into a subsidiary database, hard and soft copy filing, etc.

  • They would prefer someone with a legal background (doesn't have to be from a law firm); corporate law experience is preferred (they do not want to train on the verbiage)

Soft skills:

  • Compliance minded, detailed oriented, reliable, personable with good communication skills (written and verbal).

Paralegal/Compliance Specialist BAE Systems Applied Intelligence is looking for a Paralegal/Compliance Specialist in its McLean VA office with at least 2 years of experience in an in-house paralegal role handling both contract and compliance matters. The Paralegal/Compliance Specialist will report to the Head of Legal-Americas and work closely with attorneys and paralegals to assist in the Company compliance programs and sales contracting activities. Duties and Responsibilities: * Use services that produce third party vetting and due diligence reports such as Experian, Dow Jones or World Compliance to draft due diligence reports. * Assist in drafting and revising legal/compliance procedures and SOPs. * Assist in drafting and managing accurate and organized corporate documentation and records of American subsidiary companies, including, preparing required entity reports, resolutions, and other governance documents. * Assist in litigation support work such as discovery requests and document productions. * Work with others within the organization to develop, implement, and maintain systems to optimize legal department functions and processes. * Review and revise standard NDAs, SOWs and contract amendments. * Identify, research and escalate complex legal issues to senior paralegal or attorneys for resolution as appropriate. * Support development of contract templates and playbooks including training to the sales and delivery teams on proper use. * Provide additional support on various Legal Department projects. * Develop expertise in reviewing, redlining and negotiating more complex customer–facing agreements. Position Requirements: * Bachelor's degree plus a minimum of 2 years related work experience, a plus if some of which was in a software technology company. * Superior organizational and project management skills and attention to detail. * Self-starter who takes ownership and enjoys working across departments. * Possess a high degree of integrity and the ability to maintain the strictest level of confidentiality. * Adept at leveraging technology to improve performance. Proficient in MS Suite. * Strong written and verbal communication skills, including the ability to communicate legal concepts effectively across the organization to achieve project objectives. * Understanding of software licensing, intellectual property rights, privacy and security concerns in cloud environments a plus. * Ability to develop close working relationships and work collaboratively with internal and external customers. * Adaptable and thrive in a fast-paced environment, able to effectively multi-task, re-prioritize and work independently to meet deadlines and drive agreements to conclusion in compliance with corporate standards, while remaining calm under pressure. * Ability to strike a prudent, business-friendly and collaborative balance between effective risk identification, counselling and maintenance of corporate standards with business objectives.
