SUMMARY OF ROLE
SunPower is seeking a Senior Transactional Paralegal to provide support related to the Companys distributed generation business and project finance efforts, as well as other areas where SunPowers attorneys require support. A desire to provide world-class legal solutions to customers is a must.
As part of the legal department, this position focuses on supporting the Companys distributed generation team. This is a great opportunity to be part of a close-knit, cross-functional team of talented and creative individuals.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Coordinate and facilitate closing of transactions (i.e., PPA and EPC contract execution, project financings and project sales for the commercial & industrial business unit), including revision and completion of documents, coordination of signature pages, completion of filings, assembly of closing sets, etc. Consult with supervising attorneys and communicate with clients on same.
Create and maintain organized database of documents for the commercial legal team.
Create subsidiaries and maintain corporate governance documentation, as required.
Provide support for a range of other types of commercial agreements, such as review and analysis of contracts, review of requested edits to form agreements, preparation or review of renewals or extensions of existing agreements, and development and review of draft contracts under attorney supervision.
Provide real estate support to supervising attorneys, including coordination with title companies, surveyors, etc.
Assist supervising attorneys by organizing and gathering information for contract drafting and following up on outstanding contract issues or status. This may include meeting with appropriate departments to facilitate and expedite contract resolution.
Conduct legal and/or business research, provide timely and relevant information, and respond to legal inquiries.
Provide administrative support and participate in department initiatives and projects, as needed.
RELATED EXPERIENCE AND EDUCATIONAL REQUIREMENTS
Minimum requirements -
Minimum 6+ years in law firm and/or in-house setting;
Good business judgment and high ethical standards;
Familiarity with new technologies and computing programs;
Strong communication skills interpersonal, presentation and written;
Strong analytic, influencing, negotiation, critical thinking and problem-solving skills;
Strong administrative skills and keen attention to detail;
Ability to manage multiple tasks and high priority tasks independently;
Enthusiastic team player, good sense of humor, proactive self-starter and quick learner;
Experience with review and drafting of commercial contracts;
Experience with closing transactions, including coordination of final document packets, signature pages, filings and closing binders/sets; and
Experience with corporate governance issues and requirements.
Paralegal certification preferred.
Familiarity with finance transactions: able to conduct entity and collateral searches, prepare reports using on-line resources.
Must be able to engage in domestic travel as needed.
Candidate must be legally entitled to work and reside in the United States.
Experience with real estate (preliminary title reports, title policies, obtaining ALTA surveys, plotting policy exceptions on surveys, etc) preferred.
Notary public preferred.
