A career in our United States National Tax Practice Mergers and Acquisitions practice, within United States National Tax services, will provide you with the opportunity to help our clients gain valuable insight into emerging tax issues and trends, as well helping them implement successful tax strategies in response to legislative, federal, and judicial tax developments that will impact their business. You ll help our clients with United States federal income tax considerations primarily related to foreign persons activities in the United States, United States persons activities outside the United States, cross border mergers and acquisitions, financial transactions, and insurance companies. Our team helps our clients assess tax obligations related to acquisitions, dispositions, mergers, joint ventures, and initial public offerings. You ll focus on managing acquisition and merger risk, structuring acquisitions to optimise net cash flows, carrying out pre-acquisition or pre sale due diligence, and ensuring that tax compliance requirements are met throughout the deal.

Responsibilities

As a Senior Associate, you ll work as part of a team of problem solvers with extensive consulting and industry experience, helping our clients solve their complex business issues from strategy to execution. Specific responsibilities include but are not limited to:

  • Proactively assist in the management of several clients, while reporting to Managers and above

  • Train and lead staff

  • Establish effective working relationships directly with clients

  • Contribute to the development of your own and team s technical acumen

  • Keep up to date with local and national business and economic issues

  • Be actively involved in business development activities to help identify and research opportunities on new/existing clients

  • Continue to develop internal relationships and your PwC brand

Finance, Accounting, Management Information Systems, Computer and Information Science, Business Administration/Management

CPA, Microsoft Solutions Developer (or previously, Microsoft Certified Professional)

Preferred Knowledge/Skills:

Demonstrates considerable knowledge and/or success in the following areas:

  • Software development within a broad organization; and,
  • Liaising between technical business users and technical developers.

Demonstrates considerable knowledge and/or success in the following areas:

  • Analyzing business needs and translating them to technical requirements;

  • Writing SQL / VB (or any object oriented programming language);

  • Analyzing large, complex data sets, with an aptitude to conduct quantitative and qualitative analysis;

  • Partnering with stakeholders to establish priorities and organizing efforts to achieve goals;

  • Demonstrating experience with Project Management; and,

  • Providing candid, concise feedback in a timely manner.

Demonstrates considerable experience with change management including the following:

  • Teaching others how to use the software as well as troubleshooting user issues;

  • Demonstrating formal documentation of the software to assist in change management process; and,

  • Testing of the software to ensure results are functioning as designed, along with the triage reported issues.

Demonstrates proven extensive technical skills and success in a role involving the application and interpretation of US federal income tax law as it relates to partnerships, tax efficient structuring and use of debt, and technical writing. Proven extensive ability to write complex formulas in Excel in order to identify issues and solve problems. Demonstrates proven extensive skills and success in roles identifying and addressing client needs: actively participating in client discussions and meetings; communicating a broad range of Firm services; -managing engagements including preparing concise, accurate documents and balancing project economics management with the occurrence of unanticipated issues.
