The National Mergers and Acquisitions (M and A) group is comprised of subject matter specialists in the areas of Corporate and Partnership Tax M and A. The group advises multinational corporations, privately held companies, and partnerships on the tax aspects of planning, structuring, and executing transactions of all sizes including but not limited to the following:

  • analyzes proposed restructuring and acquisition transactions;
  • interprets complex statutory and regulatory actions relating to corporate and partnership transactions;
  • performs quantitative analysis to assess the tax consequences of specific transactions;
  • assist clients with regulatory and legislative initiatives;
  • and, prepares for client review submission requests for private letter rulings and technical advice from the IRS.

PwC's Partnership Analytics group, within National Tax Mergers and Acquisitions, is focusing on bringing the best technology to market by undertaking development of a tool that will allow for tax planning through modeling complex deals and transactions. Position/Program Requirements Minimum Year(s) of Experience: 3

Minimum Degree Required: Bachelor's degree

Degree Preferred: Bachelor's degree or Master's degree in Finance, Accounting, Business Administration, Information Systems, or Computer Science.

Certification(s) Preferred: CPA, Microsoft Solutions Developer (or previously, Microsoft Certified Professional)

Knowledge Preferred:

Demonstrates considerable knowledge and/or success in the following areas:

  • Software development within a broad organization; and,
  • Liaising between technical business users and technical developers.

Skills Preferred:

Demonstrates considerable knowledge and/or success in the following areas:

  • Analyzing business needs and translating them to technical requirements;

  • Writing SQL / VB (or any object oriented programming language);

  • Analyzing large, complex data sets, with an aptitude to conduct quantitative and qualitative analysis;

  • Partnering with stakeholders to establish priorities and organizing efforts to achieve goals;

  • Demonstrating experience with Project Management; and,

  • Providing candid, concise feedback in a timely manner.

Demonstrates considerable experience with change management including the following:

  • Teaching others how to use the software as well as troubleshooting user issues;

  • Demonstrating formal documentation of the software to assist in change management process; and,

PwC's Partnership Modeling practice offers a broad range of partnership solutions addressing all stages of partnership operations including: partnership formation; operations including disguised sales and income allocations; partnership recapitalizations and revaluations; current distributions and associated basis adjustments; sales of partnership interests; and debt allocations. The group coordinates closely with the PwC Mergers and Acquisitions group and focuses primarily on transactional support. PwC's Partnership Modeling practice also focuses on computations relating to a number of discrete transactions that are common in the market for which modeling is necessary. These structures are both domestic and international and include internal and third party transactions. Position/Program Requirements Minimum Year(s) of Experience: 5 Minimum Degree Required: Bachelor's degree in Accounting or other business-focused fields of study Certification(s) Required: CPA or Member of the Bar Degree Preferred: Juris Doctorate or Master's degree in Accounting or Taxation Certification(s) Preferred: CPA Knowledge Preferred: Demonstrates proven extensive knowledge and success in roles managing consulting engagements involving M&A practices, preferably for a global network of professional services consulting firms, especially the areas of partnership M&A, private equity and post-deal integration, and the following related areas. * Partnership taxation, including transactional analytics, allocations and capital accounting; * Tax consulting services, transaction structuring for tax issues, restructuring, strategy formulation, financial modeling and tax planning. Skills Preferred: Demonstrates proven extensive technical skills and success in a role involving the application and interpretation of US federal income tax law as it relates to partnerships, tax efficient structuring and use of debt, and technical writing. Proven extensive ability to write complex formulas in Excel in order to identify issues and solve problems. Demonstrates proven extensive skills and success in roles identifying and addressing client needs: actively participating in client discussions and meetings; communicating a broad range of Firm services; * managing engagements including preparing concise, accurate documents and balancing project economics management with the occurrence of unanticipated issues.
