Job Summary:

We are seeking applicants for an M&A Manager reporting into the SVP, Head of Strategy, M&A and Investments

The M&A Manager is a key team member in the development and execution of corporate strategy and different strategic transactions, including mergers and acquisitions, divestitures, joint ventures and investments. This individual will primarily support Caesars' sourcing and evaluation of inorganic growth opportunities as a means to deliver against our strategic architecture.

Key activities include:

The role requires working directly with the Mergers & Acquisitions team and key business stakeholders to:

  • Rapidly understand the challenges and opportunities facing the company and constructively add to the dialogue and debate on the deal/project team

  • Participate in annual strategic planning process to evaluate market trends, company performance, positioning, opportunities, and resource allocation

  • Support development of the overall inorganic growth strategy, including landscape analysis and target identification

  • Work closely with the deal leadership team to support a wide range of strategic initiatives including acquisitions, equity investments, joint ventures, and divestitures

  • Responsible for day-to-day project leadership, including management of business valuation, due diligence activities, and internal communication

  • Provide support for deal processes, including deal structuring and contract negotiations

  • Communicate on a regular basis with the deal teams regarding ongoing projects and actively seek advice and guidance from more senior team members where appropriate

  • Interface with external parties such as investment banks, legal firms, consultants, accountants, etc. throughout the origination and transaction process

  • Recruit, develop, manage, train, and inspire team members

Qualified candidate will need to be an experienced financial professional with proven leadership skills, technical competency within corporate finance, poses deep functional M&A experience, and have strong executive level communication abilities. She/he needs to excel in a high-transaction volume, tight timeline environment and be able to manage competing priorities and navigate complex, matrixed organizations and stakeholders and needs to be able to be managed by objective. High level of self-sufficiency and ability to work through problems is critical for success.

  • Bachelor's degree from an top-tier university or college in Finance, Accounting or Economic

  • Minimum of [3] years' experience in Finance, M&A, investment banking, private equity, or strategy management consulting, with experience and demonstrated success performing financial modeling, valuations, deal & process leadership and due diligence

  • MBA from leading business school preferred

  • Ability to analyze information, problems, situations, practices or procedures to: define the problem or objective, identify relevant concerns or factors, identify patterns, tendencies and relationships, formulate logical and objective conclusions, recognize alternatives and their implications

  • Strong project management skills. Ability to manage in a fast-changing dynamic environment with many different stakeholders

  • Strong fluency in financial analysis techniques and valuation theory

  • Proven problem solving, conceptual thinking, and analytical abilities

  • Strong executive-level communications skills

  • Ability to work in a cross-functional environment

  • Strong oral and written communications skills

  • Ability to develop, inspire, and motivate deal teams

  • Willingness and ability to travel up to 30% of the time

  • The ability to uphold and demonstrate the highest level of integrity in all situations and recognize standards required by a regulated business

Provide quality control over deliverables. Supervise outside vendor partners, environmental engineers, architectural & engineering firms, engineers and drafting technicians, title search firms and others to ensure transactions close within defined timeframes. Identify potential risk scenarios. Manage drafting and proofing of recordable transaction documents, easements, warranty deeds, etc. prior to legal department review. Manage and administer the preparation of zoning and permitting applications, monitor progress of the application and facilitate jurisdictional requests for additional information as a result of the application review process. Ensure compliance to the quality and safety goals and objectives. Principal Duties and Responsibilities • Manages multiple projects. * Serves as main client interface which includes providing reports and attending status meetings. * For new-build projects, responsible for managing site acquisition activities from initial search ring release through Notice to Proceed (NTP). * For site modification projects, responsible for managing site acquisition activities from leasing and zoning audit through NTP. * Provides leadership and develops professional career growth opportunities within the Site Acquisition team. * Assist Proposal Manager with the response to RFPs, RFIs, bids, and other project proposal documents. * Prepares or reviews reports, forms, correspondence, e-mail messages, logs, budget documents, group goals and objectives. * Establishes project policies and procedures. * Implements strategies and priorities to meet client goals. * Provides training and supervision to the Site Acquisition team. * Supervises the administration, planning, operations, and work of consultants, subcontractors, and independent contractors * Communicates with team members and other departments regarding project status. * Manages quality control of project documents and deliverables. * Attends or directs field site visits for candidate and engineering viability. * In complex cases, interviews zoning/permitting personnel to obtain jurisdictional approval requirements. * Reviews collocation applications and submittals. * Manages the Site Acquisition Specialists as they coordinate with tower owners and/or private landlords to negotiate and secure lease entitlements as project scope defines. * Monitors and tracks progress on all open projects. * Reviews and approves payment of vendor and subcontractor invoices. * Maintains a high degree of customer service and integrity when dealing with clients. * Other duties or special projects, as assigned. * Manages the verification of Enhanced 911 addressing. * Supervises work of others. Responsible for hiring, discipline, and pay administration of their subordinates. List supervised positions: Site Acquisition Associates and Specialists (ADM Levels 1-4). Minimum Qualifications Requires 4 year degree, or equivalent work experience. Requires 7 years telecommunications industry experience; 3 years site acquisition and land use experience; 2 years supervisory and/or vendor management experience; real estate, sales, or legal negotiation experience (required). All applicants must be able to complete pre-employment onboarding requirements (if selected) which may include any/all of the following: criminal/civil background check, drug screen, and motor vehicle records search, in compliance with any applicable laws and regulations. Preferred Job Qualifications Law degree or Urban Planning degree preferred. ROW or Small Cell experience with managing, leasing and or permitting. Reporting to internal and external clients, management of people, organization, critical thinking skills, and strong computer skills.
