As a member of the American Airlines in-house legal team, the MD Associate General Counsel will be responsible for leading the Corporate Finance group within the Legal Department, which provides counsel, advice, and legal support to the Treasury department of American Airlines with respect to corporate finance and banking matters, and to the Fleet team on fleet transactions matters.
Principal Duties and Responsibilities
  • Leads and supports team of internal and external corporate finance attorneys and legal professionals in order to ensure timely and effective support with respect to corporate finance, banking and fleet transactions matters, including:
    • Lease and debt financing of aircraft, including offerings of enhanced equipment trust certificates (EETCs)
    • Term loans and revolving credit facilities secured by various assets
    • Tax-exempt financing of airport improvements and other facilities
    • Aircraft acquisition and disposition agreements
  • Participates in drafting and review of the Companys 1934 Act reports to the Securities and Exchange Commission
  • Provides practical, compliant and strategic legal advice and counsel to Treasury, Fleet, Accounting and management on a full range of issues
  • Functions as a financing and securities law subject matter expert, staying current with developments, trends and practices
  • Strategically and in a cost-effective manner, manages and partners with outside counsel in financing and securities laws matters
Required Qualifications
  • Bachelors and Juris Doctorate degrees
  • Bar admission and active member in good standing in at least one state
  • At least ten (10) years of extensive in-house or large firm experiencepracticing corporate finance and securities law for large, sophisticated companies
  • Extensive knowledge of federal securities laws
  • If not currently residing in the Dallas area, willingness to relocate

About The Job Leads a dedicated group responsible for domestic and international corporate security including liaising with security-related policymakers, overseeing investigations, and ensuring compliance with corporate policies.
