Summary:

We are seeking a self-motivated, professional, and detail-oriented M&A Contract Specialist to support our Mergers and Acquisitions (M&A) function within our Infrastructure Performance Group. The successful candidate will manage a large pipeline of contracts throughout their lifecycle, applying legal reasoning, research, and writing skills on a variety of complex tasks.

Responsibilities:

  • Oversee all aspects of the mergers and acquisitions (M&A) contracting function.
  • Manage and track contracts from start to finish, including drafting, redlining, and negotiating contracts in accordance with company policies and procedures.
  • Review M&A due diligence, meet with stakeholders, present findings, and collaborate with outside counsel and consultants to ensure compliance and assess risks.
  • Drive the development and execution of post-acquisition combination and integration work plans.
  • Ensure all contracts comply with local, state, and federal laws.
  • Oversee the pipeline of contractors and vendors.
  • Prepare contract letters and other legal communications and notices.
  • Assess needs and develop new policies for the Contracts Department.
  • Enhance filing and data control processes to ensure compliance with standards.
  • Monitor inbound email traffic to identify requests from internal and external customers, triage emails for required actions and urgency, and escalate potential issues to senior leadership.
  • Serve as the primary point of contact for certificates of insurance requirements for both internal and external customers.
  • Support the administration of the contract database and filing system, ensuring consistent standards for data entry and document storage, including input, verification, and maintenance of accurate data.
  • Assist sales operations by interpreting contractual requirements in RFPs and bid responses and prepare responses to information requests for inclusion in RFP bid submissions.
  • Provide support for ad-hoc requests as identified.

Qualifications:

  • Juris Doctorate.
  • A minimum of three years of legal experience in a corporate environment.
  • A minimum of 1-2 years of M&A experience.
  • Knowledge of accounting/finance principles.
  • Strong legal research, reading, and writing skills.
  • Exceptional attention to detail.
  • Skilled in time management and task prioritization.
  • Strong computer skills and familiarity with systems such as Salesforce and Conga.
  • Ability to exercise professional judgment to adapt procedures, processes, and techniques.
  • Ability to initiate and drive projects to completion with minimal guidance.
  • Ability to manage highly confidential information with professionalism and integrity.
