ROLE OVERVIEW

Goldman Sachs is looking to hire employee benefits counsel as a Vice President in the Executive Compensation and Benefits team in the Corporation Law Group, which handles various functions related to The Goldman Sachs Group, Inc., the firm's parent bank holding company that is listed on the NYSE. In addition to executive compensation and benefits matters, the Corporation Law Group oversees matters relating to corporate governance, treasury legal, political law, corporate engagement, and reputational risk management. The attorney will provide legal and regulatory advice with respect to firmwide and divisional employee benefit plans and other benefits or benefit-related plan and policies, as well as the firm's compensation and total rewards programs. While other members of the Corporation Law Group advise on executive compensation matters, the preferred candidate would have experience in those areas.

RESPONSIBILITIES

  • Employee Benefit Plans -- Ensure compliance with laws affecting broad-based tax-qualified retirement and welfare benefit plans, such as ERISA, the Internal Revenue Code (Code), the Affordable Care Act (ACA), HIPAA and applicable global laws. Responsibilities include reviewing Form 11-K, Form 5500 and other filings and disclosures, drafting and reviewing plan amendments, SPDs, employee communications, negotiating third-party vendor agreements, supporting in-house plan committees, and advising on plan design changes, error corrections and appeals.

  • Other Firm Benefit Plans and Programs

  • Provide counsel on wellness initiatives as proposed from time to time, workers compensation insurance, and executive healthcare and life insurance programs. Assist the Human Capital Management Division, the Employment Law Group and other internal stakeholders with constructing leaves of absence, severance, disability and other departure arrangements as they may relate to the firm's short-term and long-term disability, equity-based award, and active or retiree healthcare programs.
  • Incentive Compensation
  • Provide guidance on the design and administration of U.S. and non-U.S. equity-based compensation, and other firmwide and divisional non-qualified deferred compensation, including with respect to local securities exemptions, filings and disclosure requirements, foreign exchange implications, and rules regarding translations and other enforcement-related concerns. Knowledge of rules under Dodd Frank, TILA, Federal Reserve's Final Guidance on Incentive Compensation and other similar regulations issued outside of the U.S. is preferred.
  • Compensation Policies
  • Advise on policies, procedures, training and documentation relating to the firm's compensation and reward programs, including those supported by third party providers. Draft and maintain firmwide compensation policies to ensure consistency with banking compensation rules, supervisory feedback and existing practices.
  • M&A
  • Advise on mergers, acquisitions, divestitures, outsourcing initiatives and other corporate transactions with respect to policy, design and implementation of retirement and welfare benefits and employee compensation arrangements. Implement changes relating to benefits programs; e.g., assuming, terminating or merging benefits programs and other obligations. Draft retention and other performance-based deferred compensation plans. Work closely with Human Capital Management Division in pre- and post-close activities, integration activities relevant to benefits programs. Experience with Sections 280G, 409A, 401(a) and 125 of the Code, and banking compensation rules in the M&A context will be very helpful.
  • Legislative/Regulatory Reform, News and Updates
  • Monitor developments in the compensation and benefits landscape, including proposed legislation and court decisions, evaluate impact on programs and operations, and provide updates and education to internal stakeholders.
  • Participation in Industry Groups
  • Attend industry group meetings and calls. Participate and provide input on comment letters and other advocacy efforts, as appropriate.

QUALIFICATIONS

  • Minimum of seven years of legal experience in-house and/or at a law firm, and J.D. from an approved law school and NY bar membership in good standing or the ability to obtain registered in house counsel status.

  • Ability to work proactively and independently, collaborate effectively with others including senior leadership, work well in high-pressure situations, juggle priorities, and manage external counsel.

  • Excellent judgment and professional demeanor.

Salary Range

The expected base salary for this New York, New York, United States-based position is $170000-$270000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
